Parties and Recitals
This Independent Contractor Agreement (the "Agreement") is entered into between the nonprofit organization named below (the "Client") and the contractor providing specialist services (the "Contractor").

(A) The Client requires support for fundraising campaigns, grant writing, program evaluation, donor management, financial compliance, communications, or marketing that advances the mission.
(B) The Contractor holds the nonprofit sector knowledge to deliver the Services in alignment with charitable standards.
(C) The Parties formalize this engagement, covering deliverables, fees, IP over program designs, and the protection of donor records, financial data, and beneficiary information.
Definitions and Interpretation
The following definitions apply to this Agreement.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing grant templates, fundraising frameworks, or CRM configurations developed before the engagement.
"Confidential Information" means all non-public information, including donor identities and giving histories, grant applications, beneficiary personal information, board minutes, financial statements, and program outcome data.
"Deliverables" means grant proposals, campaign materials, program evaluations, CRM configurations, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as fundraising campaigns or donor engagement strategies developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means work in the Schedule, covering fundraising, grant writing, program evaluation, donor management, or nonprofit communications. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor. No employment, agency, or board relationship exists. Tax, insurance, and statutory obligations are the Contractor's sole responsibility.
Services and Deliverables
Services are in the Schedule and may include fundraising design, grant applications, impact assessment, CRM implementation, or mission-driven communications. Deliverables require Client written acceptance.
Term and Termination
This Agreement begins on the Effective Date and runs for the agreed term. On termination, the Contractor must return all Client property including donor records, grant documentation, and beneficiary data.
