Parties and Recitals
This Independent Contractor Agreement (the "Agreement") establishes the terms between the boutique hotel below (the "Client") and the contractor providing professional services (the "Contractor").
The Client operates a boutique hotel offering a curated, design-forward accommodation experience with personalized service, distinctive interior aesthetics, and programming that reflects local culture. Boutique hotel operations require expertise in revenue management, channel distribution across OTAs and direct channels, food and beverage program development, staff training for elevated service standards, and brand storytelling that justifies premium pricing.
The Contractor has been retained for their hospitality expertise and agrees to perform the Services under this Agreement.
(A) The Client needs contractor support for revenue management strategy, PMS and channel manager integration, F&B program consulting, interior design direction, staff service training, or digital marketing that builds brand recognition and direct booking share.
(B) The Contractor has the luxury hospitality or boutique accommodation expertise to deliver the Services to a premium standard.
(C) The Parties document the engagement, covering deliverables, fees, IP over brand concepts and service frameworks, and the protection of confidential rate strategies, guest data, and financial performance metrics.
Definitions and Interpretation
Unless context requires otherwise, these definitions apply.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing revenue management models, hotel service training programs, or boutique brand strategy frameworks developed independently.
"Confidential Information" means all non-public information, including room rate strategies, RevPAR and ADR data, OTA commission rates, guest profiles, F&B cost percentages, staff compensation structures, PMS configurations, and competitive set performance benchmarks.
"Deliverables" means revenue strategies, training curricula, F&B programs, brand guidelines, marketing plans, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom service standards, brand narratives, or revenue optimization models developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering revenue management, distribution strategy, F&B consulting, service training, interior design, or boutique hotel marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor operates as an independent contractor. No employment or agency relationship exists. All tax, insurance, and statutory obligations from hotel consulting are the Contractor's responsibility.
Services and Deliverables
Services are described in the Schedule and may include rate strategy development, channel distribution optimization, F&B program design, service excellence training, or brand marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement starts on the Effective Date and continues for the agreed duration. On termination, the Contractor shall return all Client property including rate data, guest information, and brand materials.
