The Contractor has been retained for relevant expertise in seasonal service operations, electrical installations, or event design.

(A) The Client requires contractor support for lighting design templates, electrical safety training, crew scaling strategies for seasonal peaks, inventory management systems, commercial display bid preparation, or early-season marketing to secure bookings before the installation window closes.

(B) The Contractor has the operational knowledge or technical expertise to deliver the Services to the safety and aesthetic standards required for professional holiday lighting installations.

(C) The Parties formalize this engagement, addressing deliverables, payment, IP over design templates and operational systems, and the confidential treatment of pricing models, client property layouts, and supplier discount structures.

Definitions and Interpretation

The definitions below govern this Agreement unless context requires otherwise.

"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this could include existing lighting design templates, electrical load calculators, seasonal crew scheduling models, or holiday display portfolios developed before the engagement.

"Confidential Information" means all non-public information, including lighting product supplier pricing and bulk discount tiers, per-property installation cost calculations, commercial display bid details, client property measurements and access arrangements, LED product specifications, seasonal revenue projections, crew wage rates, and equipment storage logistics.

"Deliverables" means design templates, safety programs, scheduling systems, bid documents, marketing materials, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom display designs, installation safety protocols, or booking management systems developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering lighting design, electrical safety training, seasonal workforce planning, bid preparation, inventory management, or holiday lighting marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor, not an employee or agent. Tax, insurance, and all statutory obligations connected with holiday lighting consulting services are the Contractor's sole responsibility.

Services and Deliverables

Services are specified in the Schedule and may include display design development, electrical safety training, peak-season crew planning, commercial bid consulting, or pre-season marketing strategy. Deliverables require Client written acceptance.

Term and Termination

This Agreement starts on the Effective Date and runs for the specified term. On termination, the Contractor shall return Client materials including property layouts, design templates, and supplier pricing data.
