Parties and Recitals

This Independent Contractor Agreement (the "Agreement") governs the engagement between the transmission shop identified below (the "Client") and the contractor providing professional services (the "Contractor").

The Client operates a transmission repair shop specializing in the diagnosis, rebuild, and replacement of automatic, manual, and CVT transmissions for passenger vehicles, trucks, and fleet accounts. Transmission work is among the most technically complex automotive services, requiring knowledge of hydraulic systems, electronic shift solenoids, torque converter diagnostics, fluid analysis, and OEM-specific rebuild specifications that vary across hundreds of transmission models.

The Contractor has been retained for their transmission-specific expertise or shop management knowledge.

(A) The Client requires contractor support for technician training on late-model transmission systems, diagnostic workflow optimization, parts sourcing for hard-to-find components, warranty program development, fleet account acquisition, or marketing that positions the shop as a transmission specialist.

(B) The Contractor holds the drivetrain expertise or automotive shop management experience to deliver the Services to a professional standard.

(C) The Parties formalize this engagement, covering deliverables, fees, IP over diagnostic procedures and training materials, and confidentiality for rebuild cost data, parts supplier pricing, and warranty claims information.

Definitions and Interpretation

Unless context indicates otherwise, the following definitions apply.

"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing transmission diagnostic flowcharts, rebuild specification databases, or fluid analysis frameworks developed before the engagement.

"Confidential Information" means all non-public information, including transmission rebuild cost breakdowns, parts supplier pricing and availability, diagnostic tool calibration data, warranty reserve calculations, fleet contract pricing, labor time estimates per transmission model, and customer vehicle service histories.

"Deliverables" means training materials, diagnostic procedures, parts strategies, warranty programs, marketing plans, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom rebuild procedures, diagnostic decision trees, or fleet sales processes developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering technician training, diagnostic consulting, parts sourcing, warranty design, fleet sales, or transmission shop marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor. No employment or agency relationship exists. All tax, insurance, and statutory obligations from transmission shop consulting are the Contractor's responsibility.

Services and Deliverables

Services are in the Schedule and may include rebuild training, diagnostic optimization, parts sourcing strategy, warranty program creation, or specialist positioning marketing. Deliverables require Client written acceptance.

Term and Termination

This Agreement starts on the Effective Date and runs for the agreed term. On termination, the Contractor shall return all Client materials including rebuild data, parts records, and customer information.
