The Contractor has been engaged based on their relevant experience in quick-lube operations or automotive service management.

(A) The Client requires contractor support for bay workflow optimization, technician training on multi-point inspections, bulk oil procurement strategy, environmental compliance for waste oil, fleet account development, or marketing to drive repeat visits and membership conversions.

(B) The Contractor possesses the quick-service automotive operations expertise to deliver the Services competently.

(C) This Agreement covers deliverables, payment, IP over workflow systems and training, and confidentiality for oil supplier pricing, service throughput data, and customer retention metrics.

Definitions and Interpretation

The terms below apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing bay workflow templates, upsell script libraries, oil product comparison databases, or quick-service training programs developed independently.

"Confidential Information" means all non-public information, including bulk oil and filter supplier pricing, per-service cost calculations, bay throughput metrics, upsell conversion rates, fleet account terms, membership program data, environmental disposal records, and customer visit frequency analytics.

"Deliverables" means workflow designs, training programs, procurement strategies, marketing plans, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom bay workflows, inspection checklists, or membership program structures developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering bay optimization, technician training, procurement, fleet sales, environmental compliance, or quick-lube marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor. No employment, agency, or partnership exists. Tax, insurance, and statutory obligations from oil change consulting are the Contractor's sole responsibility.

Services and Deliverables

Services are in the Schedule and may include bay workflow design, technician inspection training, bulk procurement negotiation, fleet account development, or express service marketing. Deliverables require Client written acceptance.

Term and Termination

This Agreement begins on the Effective Date and continues for the agreed term. On termination, the Contractor must return all Client property including workflow data, supplier contracts, and customer records.
