This Independent Contractor Agreement (the "Agreement") sets out the terms between the group home operator identified below (the "Client") and the contractor providing professional services (the "Contractor").

Group home operations are heavily regulated, requiring licensing compliance, staff-to-resident ratios, individualized care planning, medication management, and incident reporting.
The Contractor has been retained for their residential care, compliance, or clinical expertise.
(A) The Client requires support for licensing compliance, service plan development, behavioral support training, medication management, incident reporting systems, or marketing to referral sources.
(B) The Contractor possesses the residential care qualifications to deliver the Services in regulatory compliance.
(C) The Parties formalize the engagement, covering deliverables, payment, IP over care programs, and strict protection of resident information and medical records.
Definitions and Interpretation
The following terms govern this Agreement.
"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing care plan templates, behavior support frameworks, or compliance checklists developed before the engagement.
"Confidential Information" means all non-public information, including resident personal details, medical and behavioral records, service plans, medication logs, incident reports, licensing results, and staff background data. Resident data must be handled per applicable care legislation.
"Deliverables" means compliance frameworks, care programs, training curricula, incident systems, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom care plans, training modules, or compliance systems developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means work in the Schedule, covering licensing compliance, care planning, staff training, medication consulting, or group home marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor. No employment or clinical relationship exists. Tax, insurance, and statutory obligations from group home consulting are the Contractor's sole responsibility.
Services and Deliverables
Services include those in the Schedule, such as licensing advisory, care plan development, behavioral support training, medication consulting, or referral marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement commences on the Effective Date and runs for the agreed term. On termination, all resident records must be securely returned per applicable care and data protection requirements.
