(A) The Client seeks contractor support for menu curation tailored to specific dietary programs, culinary technique training, client relationship management systems, business operations consulting, liability and insurance advisory, or marketing to high-net-worth households.

(B) The Contractor confirms relevant credentials, which may include professional culinary certifications, dietary specialization training, or demonstrated experience serving private clients in residential settings.

(C) This Agreement documents the complete terms of engagement, addressing services, compensation, IP rights over bespoke menu designs and recipes, and the confidential treatment of client household information, dietary records, and personal preferences.

Definitions and Interpretation

The following definitions govern interpretation of this Agreement.

"Agreement" means this Independent Contractor Agreement with its Schedules and any written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing recipe collections, dietary planning templates, client intake assessment frameworks, or culinary technique guides developed before the engagement.

"Confidential Information" means all non-public information disclosed between the Parties, including private client identities and household details, dietary restrictions and health conditions, bespoke menu plans, grocery procurement lists and spending data, scheduling arrangements, personal preferences and lifestyle information, revenue per client household, and marketing strategies targeting high-net-worth demographics.

"Deliverables" means bespoke menus, dietary plans, recipe collections, training materials, client management templates, marketing content, or any other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as customized menu programs, dietary assessment tools, or client onboarding processes developed for the Client's personal chef business.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work described in the Schedule, which may include bespoke menu creation, culinary technique training, dietary consultation systems, client management, or luxury lifestyle marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor. No employment or agency relationship exists. The Contractor bears sole responsibility for taxes, insurance, and statutory obligations connected to personal chef consulting services.

Services and Deliverables

Services are described in the Schedule and may include dietary menu planning, culinary skills training, client intake system design, business process consulting, or marketing to private households. All deliverables require the Client's written acceptance.

Term and Termination

This Agreement begins on the Effective Date and runs for the agreed duration. Upon termination, the Contractor shall deliver outstanding work and return all Client materials including client records, dietary plans, and proprietary recipes.
