Parties and Recitals
This Independent Contractor Agreement (the "Agreement") defines the engagement between the meal prep service business named below (the "Client") and the contractor providing specialist services (the "Contractor").
The Client operates a meal preparation service producing pre-portioned, ready-to-heat meals for delivery or pickup, targeting health-conscious consumers, fitness enthusiasts, or time-constrained professionals. Meal prep businesses face operational complexities around macro-nutrient accuracy, allergen segregation, batch cooking at scale, cold chain logistics, shelf-life optimization, and subscription management systems that differ fundamentally from traditional restaurant operations.
The Contractor has been engaged for their relevant expertise in food production, nutrition science, logistics, or a related field.
(A) The Client requires external support in areas such as recipe development optimized for macronutrient targets, production line scaling, packaging that preserves freshness during delivery, nutritional labeling compliance, subscription platform integration, or customer retention marketing for meal plan subscribers.
(B) The Contractor represents possession of the relevant qualifications, including potential certifications in nutrition, food science, or supply chain management, to deliver the Services professionally.
(C) The Parties agree to document the engagement terms fully, covering service scope, payment structure, IP ownership over new recipes and meal plan designs, and confidentiality obligations protecting proprietary formulations, subscriber data, and fulfillment logistics.
Definitions and Interpretation
The following terms apply throughout this Agreement.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include proprietary macro-tracking recipe databases, batch cooking workflow systems, cold chain monitoring tools, or subscription retention models developed before this engagement.
"Confidential Information" means all non-public information exchanged between the Parties, including meal recipes with precise macro-nutrient breakdowns, ingredient sourcing contracts, batch production schedules, packaging specifications for modified atmosphere packaging, cold chain temperature logs, subscriber databases, churn analytics, delivery route optimization data, and per-meal cost calculations across protein, carbohydrate, and vegetable components.
"Deliverables" means recipes, meal plans, production SOPs, nutritional labels, packaging designs, marketing materials, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, including new meal recipes, subscription tier designs, packaging innovations, or customer retention frameworks developed specifically for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means work described in the Schedule, which may cover recipe development, production consulting, nutritional compliance, delivery logistics, subscription management, or fitness-focused marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor, not an employee, worker, or agent. All tax, insurance, and statutory obligations arising from meal prep consulting services are the Contractor's sole responsibility.
Services and Deliverables
Services are specified in the Schedule and may include macro-optimized recipe design, batch production consulting, cold chain logistics, nutritional labeling, or subscriber retention strategy. Deliverables require the Client's written acceptance after review.
Term and Termination
This Agreement runs from the Effective Date for the agreed duration. On termination, the Contractor shall deliver all in-progress work and return Client materials including recipes, subscriber data, and production documentation.
