Parties and Recitals

This Independent Contractor Agreement (the "Agreement") sets out the terms between the junk removal business identified below (the "Client") and the contractor providing professional services (the "Contractor").

The Client operates a junk removal service collecting unwanted items, construction debris, yard waste, and estate cleanout materials from residential and commercial properties for disposal, recycling, or donation. Junk removal involves real-time dispatching, on-site volume estimation, proper waste classification for landfill diversion, recycling compliance, crew management, truck fleet utilization, and local permit requirements for commercial waste hauling.

The Contractor has been selected for relevant operational expertise and agrees to perform the Services stated herein.

(A) The Client requires contractor support for dispatch system implementation, pricing and estimation methodology, recycling compliance and landfill diversion strategy, crew training, fleet management, commercial contract development, or local SEO and marketing to homeowners and property managers.

(B) The Contractor has the waste management knowledge or field service operations experience to deliver the Services competently.

(C) The Parties formalize the engagement, addressing deliverables, fees, IP over pricing tools and dispatch systems, and the confidential handling of disposal site contracts, per-load cost data, and commercial account details.

Definitions and Interpretation

These definitions apply throughout the Agreement.

"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing volume estimation tools, dispatch scheduling algorithms, recycling classification guides, or junk removal pricing models developed before the engagement.

"Confidential Information" means all non-public information, including disposal site contracts and per-ton tipping fees, recycling facility agreements, per-job pricing calculations, truck fleet utilization rates, crew wage data, commercial cleanout contract terms, booking conversion rates, and customer property details.

"Deliverables" means pricing systems, dispatch tools, recycling strategies, training programs, marketing plans, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, including custom estimation algorithms, dispatch workflows, or marketing campaigns developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering dispatch systems, pricing strategy, recycling compliance, crew training, fleet management, or junk removal marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor, not an employee, worker, or agent. All tax, insurance, and regulatory obligations from junk removal consulting services are the Contractor's responsibility.

Services and Deliverables

The Contractor shall perform services in the Schedule, which may include dispatch optimization, volume-based pricing methodology, landfill diversion strategy, crew management training, or local marketing. Deliverables require Client written acceptance.

Term and Termination

This Agreement starts on the Effective Date and continues for the agreed term. On termination, the Contractor must return Client materials including disposal contracts, pricing data, and client records.
