Hair Salon Contractor Agreement Generator

This Independent Contractor Agreement (the "Agreement") governs the engagement between the hair salon named below (the "Client") and the contractor providing professional services (the "Contractor").

The Client operates a hair salon offering cutting, coloring, styling, and treatment services. Salon operations involve managing stylists, product procurement, booking systems, cosmetology licensing compliance, and marketing in a relationship-driven business where client loyalty to individual stylists often outweighs loyalty to the salon brand.

The Contractor has been retained for their salon industry, beauty business, or marketing expertise.

(A) The Client requires support for stylist training, product selection, booking optimization, interior design, client retention strategy, or marketing targeting local clientele.

(B) The Contractor has the beauty industry expertise to deliver the Services to a professional standard.

(C) This Agreement covers deliverables, fees, IP over training and brand materials, and confidentiality for client records, pricing, and stylist compensation.

The following definitions apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing color guides, training curricula, or booking systems developed before the engagement.

"Confidential Information" means all non-public information, including client service histories and color formulations, stylist compensation, product supplier pricing, booking analytics, and marketing performance data.

"Deliverables" means training programs, product strategies, booking designs, marketing campaigns, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom styling techniques, training curricula, or salon branding developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering stylist education, product consulting, booking optimization, or salon marketing. Singular includes plural. Statutory references include amendments.
