Parties and Recitals
This Independent Contractor Agreement (the "Agreement") sets out the terms between the trucking company named below (the "Client") and the contractor retained for professional services (the "Contractor").
The Client operates a trucking company providing freight transportation, logistics, and hauling services across local, regional, or long-haul routes. Trucking operations involve fleet acquisition and financing, DOT compliance and safety management systems, driver recruitment and retention in a competitive labor market, fuel cost optimization, load planning and dispatch, ELD (electronic logging device) compliance, and maintaining CSA (Compliance, Safety, Accountability) scores that directly affect operating authority and insurance premiums.
The Contractor has been engaged for their expertise in trucking operations, transportation compliance, or logistics management.
(A) The Client requires contractor support for DOT compliance program development, safety management system implementation, driver training and retention strategy, fleet maintenance planning, fuel cost optimization, load brokerage technology, or marketing to shippers and freight brokers.
(B) The Contractor possesses the transportation industry knowledge or regulatory compliance expertise to deliver the Services to FMCSA standards.
(C) The Parties document the full engagement, covering deliverables, payment, IP over compliance systems and fleet tools, and the protection of confidential shipper contracts, per-mile cost data, and driver compensation structures.
Definitions and Interpretation
The following definitions apply throughout this Agreement.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing DOT compliance checklists, fleet maintenance scheduling tools, fuel optimization models, or driver training curricula developed independently.
"Confidential Information" means all non-public information, including shipper contract rates, per-mile and per-load cost calculations, fuel card pricing, driver pay structures and retention bonuses, fleet insurance premiums, CSA score data, ELD records, maintenance cost per unit, and broker relationship terms.
"Deliverables" means compliance programs, safety manuals, driver training, fleet plans, marketing strategies, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom compliance management systems, fleet analytics dashboards, or shipper acquisition tools developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering DOT compliance, safety management, driver training, fleet optimization, load planning, or trucking marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor. No employment, agency, or partnership exists. All tax, insurance, and statutory obligations from trucking consulting services are the Contractor's sole responsibility.
Services and Deliverables
Services include those in the Schedule, such as DOT compliance development, driver recruitment strategy, fleet maintenance planning, fuel optimization, or freight marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement begins on the Effective Date and continues for the agreed term. On termination, the Contractor must return all Client property including compliance records, fleet data, and shipper contracts.
