Parties and Recitals
This Independent Contractor Agreement (the "Agreement") governs the engagement between the auto repair shop identified below (the "Client") and the independent contractor (the "Contractor").
The Client operates an auto repair shop providing mechanical diagnostics, engine and transmission repair, brake service, suspension work, electrical system troubleshooting, and preventive maintenance for passenger vehicles, trucks, or fleet accounts. Automotive repair requires ASE-certified technician knowledge, diagnostic scan tool proficiency, parts procurement strategy, warranty administration, and customer communication systems that translate technical findings into clear service recommendations.
The Contractor has been retained for relevant expertise and agrees to perform the Services herein.
(A) The Client requires contractor support for technician training and certification programs, diagnostic workflow optimization, parts procurement strategy, shop management software integration, fleet account development, or marketing to vehicle owners in the local service area.
(B) The Contractor holds the automotive repair knowledge or shop management expertise to deliver the Services to the professional standards expected in the automotive aftermarket industry.
(C) The Parties document the engagement covering deliverables, compensation, IP over training materials and workflow systems, and the protection of confidential labor rates, parts markup structures, and customer vehicle records.
Definitions and Interpretation
These definitions apply to this Agreement unless context requires otherwise.
"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing diagnostic decision trees, technician training curricula, parts sourcing databases, or shop management templates developed before this engagement.
"Confidential Information" means all non-public information, including posted and actual labor rates, parts markup percentages, diagnostic equipment configurations, fleet contract terms, customer vehicle service histories, technician productivity metrics, warranty claims data, and parts supplier discount structures.
"Deliverables" means training programs, diagnostic workflows, parts strategies, shop layouts, marketing plans, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom diagnostic procedures, technician certification programs, or service advisor scripts developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering technician training, diagnostic consulting, parts procurement, shop management, fleet account development, or auto repair marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor, not an employee, worker, or agent. Tax liabilities, insurance, and statutory obligations from auto repair consulting services rest solely with the Contractor.
Services and Deliverables
Services are specified in the Schedule and may include ASE training program design, diagnostic workflow optimization, parts sourcing strategy, shop management software integration, or local automotive marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement begins on the Effective Date and runs for the agreed term. On termination, the Contractor shall return all Client materials including diagnostic procedures, parts supplier data, and customer records.
