Parties and Recitals

This Independent Contractor Agreement (the "Agreement") is made between the RV park operator identified below (the "Client") and the independent contractor retained to provide specialist services (the "Contractor"), together referred to as the "Parties."

The Client owns and operates a recreational vehicle park providing short-term and seasonal pitch rentals, utility hookups, amenity buildings, and recreational facilities for RV travellers and long-term residents. RV park operations involve site infrastructure management, utility metering, reservation systems, groundskeeping, amenity maintenance, regulatory compliance with campground licensing requirements, and guest experience programming that drives repeat bookings and positive reviews on travel platforms.

The Contractor has been engaged for their hospitality, groundskeeping, or campground management expertise and will perform the services described herein.

(A) The Client requires contractor support for site infrastructure maintenance, utility hookup installation, reservation system optimisation, landscaping, amenity facility upgrades, guest experience programming, or digital marketing targeting RV travellers and seasonal campers.

(B) The Contractor possesses relevant campground operations or outdoor hospitality experience and will deliver the Services to the standards expected in the recreational vehicle park industry.

(C) The Parties intend to formalise their arrangement, covering scope of work, payment terms, ownership of marketing assets and operational documentation, and the protection of guest records, revenue data, and site infrastructure specifications.

Definitions and Interpretation

Throughout this Agreement the following definitions apply unless the context otherwise requires.

"Agreement" means this Independent Contractor Agreement, all Schedules, and any written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights belonging to either Party. For the Contractor, this may include existing campground management frameworks, reservation system configurations, or groundskeeping maintenance schedules developed before this engagement.

"Confidential Information" means all non-public information, including guest booking records, seasonal occupancy rates, utility consumption data, pitch rental pricing, amenity usage statistics, maintenance cost breakdowns, and supplier contracts for campground infrastructure and equipment.

"Deliverables" means site maintenance reports, infrastructure upgrade plans, reservation system improvements, marketing campaigns, guest programme designs, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as bespoke guest experience programmes, branded trail maps, or reservation workflow improvements developed exclusively for the Client's RV park.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction, registered or unregistered.

"Services" means the campground operations and related work described in the Schedule, covering site maintenance, utility management, reservation optimisation, landscaping, or guest experience design. Statutory references include amendments. Singular includes plural.

Status of Parties

The Contractor is an independent contractor, not an employee, worker, or partner of the Client. All tax obligations, insurance requirements, and statutory contributions arising from the provision of campground services rest solely with the Contractor.

Services and Deliverables

The Contractor shall perform the services set out in the Schedule, which may include site infrastructure maintenance, utility hookup installation, landscaping, reservation system configuration, or guest activity programming. All deliverables are subject to the Client's written acceptance.

Term and Termination

This Agreement begins on the Effective Date and continues for the agreed term or until terminated under this clause. On termination, the Contractor must return all Client property including site maps, guest records, infrastructure documentation, and reservation system access credentials.
