Parties and Recitals
This Independent Contractor Agreement (the "Agreement") governs the engagement between the agency named below (the "Client") and the contractor providing professional services (the "Contractor").

Agencies rely on contractor talent to scale capacity, access specialized skills, and manage workload variability without carrying fixed overhead during quieter periods.
The Contractor has been engaged for their creative, technical, or strategic capabilities relevant to the Client's agency services.
(A) The Client requires contractor support for client project delivery in areas such as design, development, copywriting, video production, media buying, SEO, or strategy consulting.
(B) The Contractor possesses the creative or technical skills to deliver the Services to the quality standard the Client's end clients expect.
(C) The Parties document the engagement, covering deliverables, payment, IP ownership over work product created for end clients, and the protection of confidential client briefs, agency pricing, and competitive intelligence.
Definitions and Interpretation
The following definitions govern this Agreement.
"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments executed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing design templates, code libraries, photography portfolios, or writing samples developed before the engagement.
"Confidential Information" means all non-public information, including end-client identities and project briefs, agency fee structures, media buying rates, campaign performance data, pitch materials, and competitive positioning strategies.
"Deliverables" means designs, code, copy, video, strategy documents, media plans, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services. Given the agency model, Foreground IP is typically assigned to the Client for delivery to end clients.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means work in the Schedule, covering design, development, copywriting, video, media buying, SEO, or agency strategy. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor. No employment, partnership, or agency relationship exists. Tax, insurance, and statutory obligations from agency work are the Contractor's sole responsibility.
Services and Deliverables
Services are in the Schedule and may include graphic design, web development, content writing, video production, media planning, or strategic consulting. Deliverables require Client written acceptance.
Term and Termination
This Agreement begins on the Effective Date and runs for the agreed term. On termination, the Contractor must return all Client and end-client materials including project files and briefing documents.
