This Independent Contractor Agreement (the "Agreement") defines the terms between the car detailing business identified below (the "Client") and the independent contractor retained for professional detailing or operational services (the "Contractor").
The Client provides mobile and premises-based vehicle detailing services encompassing paint correction, ceramic coating application, interior deep cleaning, paint protection film installation, and fleet maintenance programmes. Professional detailing demands specialist product knowledge, equipment calibration for machine polishing, controlled environment management, and adherence to manufacturer warranty guidelines when applying protective coatings. The Client engages contractors with detailing certifications or automotive aftercare expertise to maintain service capacity and quality standards.
The Contractor has agreed to provide the services set out in this Agreement and represents that they hold the relevant qualifications and trade experience.
(A) The Client requires contractor support for paint correction, ceramic coating application, PPF installation, interior restoration, fleet detailing contracts, or marketing targeted at luxury vehicle owners and dealership partnerships.
(B) The Contractor holds recognised detailing certifications and possesses hands-on experience with professional-grade compounds, polishing machines, and coating products to the standard the Client requires.
(C) Both Parties intend to document the engagement terms, covering scope of detailing work, fee structure, ownership of process documentation and training materials, and the protection of client vehicle records, pricing schedules, and proprietary detailing methodologies.
Definitions and Interpretation
The definitions below govern this Agreement unless the context otherwise requires.
"Agreement" means this Independent Contractor Agreement, all Schedules, and any written amendments executed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights belonging to either Party. For the Contractor, this may include proprietary paint correction sequences, ceramic coating curing protocols, or detailing training curricula developed before the engagement.
"Confidential Information" means all non-public information, including vehicle owner records, fleet contract terms, detailing product formulations, supplier discount arrangements, per-service profit margins, machine polishing parameter settings, and ceramic coating warranty documentation shared between the Parties.
"Deliverables" means completed detailing work, process documentation, training guides, quality inspection checklists, or other tangible outputs the Contractor must produce under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as bespoke detailing packages, branded training videos, or fleet maintenance schedules developed exclusively for the Client's business.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and all equivalent rights, registered or unregistered.
"Services" means the detailing and related work described in the Schedule, covering paint correction, coating application, interior restoration, fleet programmes, or process documentation. Statutory references include amendments. Singular includes plural.
Status of Parties
The Contractor is an independent contractor, not an employee, worker, or partner of the Client. All tax obligations, insurance requirements, and statutory contributions arising from the provision of vehicle detailing services remain the Contractor's sole responsibility.
Services and Deliverables
Services are set out in the Schedule and may include paint correction, ceramic coating application, PPF installation, interior deep cleaning, or fleet maintenance. The Contractor must use products and equipment approved by the Client. Deliverables require written acceptance.
Term and Termination
This Agreement commences on the Effective Date and runs for the agreed term or until terminated under this clause. On termination, the Contractor must return all Client property including detailing product stock, equipment on loan, and client vehicle records.
