The Contractor has been selected for their relevant retail expertise and agrees to deliver the Services on the terms stated herein.

(A) The Client requires contractor support for donation processing workflow design, product pricing methodology, store layout optimization, e-commerce integration for higher-value items, sustainability branding, or community outreach programs.

(B) The Contractor holds the retail operations or secondhand market expertise needed to deliver the Services to a professional standard.

(C) This Agreement records the terms of the engagement, covering deliverables, fees, IP over pricing systems and brand concepts, and confidentiality regarding donation volumes, revenue data, and consignment partner arrangements.

Definitions and Interpretation

The following terms apply to this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing secondhand pricing algorithms, thrift store layout templates, or donation processing workflow designs developed before this engagement.

"Confidential Information" means all non-public information exchanged between the Parties, including donation volume data, product grading criteria, pricing formulas, consignment partner terms, revenue by product category, store-level shrinkage rates, e-commerce listing performance, community partner arrangements, and customer demographic data.

"Deliverables" means pricing systems, workflow designs, store layouts, marketing plans, e-commerce strategies, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom pricing methodologies, donation intake systems, or sustainability-focused brand campaigns developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering donation workflow, pricing strategy, store design, e-commerce development, sustainability branding, or community outreach. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor, not an employee, worker, or agent. Tax obligations, insurance, and statutory responsibilities arising from thrift retail consulting are borne solely by the Contractor.

Services and Deliverables

The Contractor shall perform services described in the Schedule, potentially including donation processing design, secondhand pricing methodology, store layout consulting, online resale integration, or community engagement programming. Deliverables require Client written acceptance.

Term and Termination

This Agreement starts on the Effective Date and runs for the specified term. On termination, the Contractor shall deliver all in-progress work and return Client property including pricing models, donation data, and consignment partner information.
