Nail Salon Contractor Agreement Generator

This Independent Contractor Agreement (the "Agreement") sets out the terms between the nail salon business below (the "Client") and the contractor retained for professional services (the "Contractor").

The Client operates a nail salon providing manicure, pedicure, gel, acrylic, dip powder, and nail art services. Nail salon operations require ventilation and chemical safety compliance, technician licensing, product procurement, appointment scheduling for high-turnover services, and marketing that differentiates through service quality and design creativity.

The Contractor has been engaged for their beauty industry expertise and agrees to perform the Services herein.

(A) The Client requires support for technician training, ventilation compliance, product sourcing, booking integration, service menu design, or marketing targeting nail care clientele.

(B) The Contractor holds the beauty industry knowledge to deliver the Services competently.

(C) The Parties document the engagement, covering deliverables, payment, IP over training and brand materials, and confidentiality for client records, pricing, and supplier terms.

Unless context indicates otherwise, these definitions apply.

"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing nail art libraries, safety guides, or salon training frameworks developed independently.

"Confidential Information" means all non-public information, including client preferences, product supplier pricing, per-service cost data, technician compensation, booking analytics, and ventilation specifications.

"Deliverables" means training programs, safety assessments, product strategies, marketing plans, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as nail art training modules, service menu designs, or brand campaigns developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering technician training, safety compliance, product sourcing, booking integration, or nail salon marketing. Singular includes plural. Statutory references include amendments.
