Parties and Recitals

This Independent Contractor Agreement (the "Agreement") is made between the motel business named below (the "Client") and the contractor providing specialist services (the "Contractor").

The Client operates a motel providing value-oriented overnight accommodation targeting road travelers, budget-conscious tourists, and extended-stay guests. Motel operations focus on cost-efficient room turnover, exterior corridor maintenance, parking lot management, compliance with local accommodation licensing, and competitive positioning in a market increasingly influenced by OTA visibility and guest review scores.

The Contractor has been engaged for their lodging industry or property management expertise.

(A) The Client requires contractor support for property improvement planning, OTA listing optimization, front desk operations training, housekeeping efficiency consulting, extended-stay program development, or marketing targeting road trip corridors and nearby attractions.

(B) The Contractor holds the lodging management expertise to deliver the Services to a standard consistent with budget accommodation best practices.

(C) This Agreement covers deliverables, fees, IP over operational systems and brand positioning, and confidentiality for occupancy data, rate structures, and guest records.

Definitions and Interpretation

The following terms apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing motel operations manuals, housekeeping efficiency systems, or OTA optimization guides developed before the engagement.

"Confidential Information" means all non-public information, including occupancy rates, rate strategies, OTA commission data, guest check-in records, housekeeping cost per room, property maintenance budgets, extended-stay contract terms, and review management strategies.

"Deliverables" means operations manuals, training programs, OTA strategies, property plans, marketing materials, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom front desk procedures, housekeeping workflows, or OTA listing strategies developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering property improvement, OTA optimization, front desk training, housekeeping consulting, or motel marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor. No employment or agency relationship exists. Tax, insurance, and statutory obligations from motel consulting are the Contractor's sole responsibility.

Services and Deliverables

Services include those in the Schedule, such as property renovation advisory, OTA listing optimization, housekeeping workflow design, front desk training, or roadside marketing strategy. Deliverables require Client written acceptance.

Term and Termination

This Agreement begins on the Effective Date and continues for the agreed term. On termination, the Contractor must return Client materials including occupancy data, rate strategies, and guest records.
