Parties and Recitals
This Independent Contractor Agreement (the "Agreement") governs the engagement between the juice bar business named below (the "Client") and the independent contractor providing specialist services (the "Contractor").
The Client operates a juice bar offering cold-pressed juices, smoothies, acai bowls, wellness shots, and related health-focused beverages and food items. The juice bar sector demands specific knowledge of produce sourcing, cold-press extraction equipment, nutritional formulation, shelf-life management, and compliance with health and labeling regulations that differ from conventional food service operations.
Having evaluated the Contractor's qualifications and industry experience, the Client engages the Contractor on the terms set out in this Agreement.
(A) The Client requires specialist contractor support for areas that may include juice recipe development, cold-press equipment optimization, nutritional analysis, packaging compliance, cleanse program design, supplier negotiations for organic produce, or health-focused brand marketing.
(B) The Contractor represents that they hold the relevant expertise in juice bar operations, nutrition science, or food and beverage consulting needed to deliver the Services professionally.
(C) The Parties agree to document the full scope of the engagement including payment terms, deliverables, intellectual property ownership over new formulations and brand materials, and confidentiality protections for proprietary recipes and supplier pricing.
Definitions and Interpretation
The terms below apply throughout this Agreement unless the context otherwise requires.
"Agreement" means this Independent Contractor Agreement, all Schedules, and any amendments executed in writing by both Parties.
"Background IP" means Intellectual Property Rights owned by either Party before the Effective Date. For the Contractor, this may include existing juice formulation databases, cold-press yield optimization models, or nutritional analysis frameworks developed independently.
"Confidential Information" means all non-public information shared between the Parties, including proprietary juice and smoothie recipes, cold-press extraction parameters, produce sourcing contracts, organic certification documentation, per-unit cost breakdowns, shelf-life test results, cleanse program pricing structures, and customer health preference analytics.
"Deliverables" means recipes, nutritional profiles, packaging designs, training materials, marketing content, compliance reports, or any other work product the Contractor is required to produce under the Schedules.
"Foreground IP" means Intellectual Property Rights created during performance of the Services, including new juice blend formulations, wellness shot recipes, acai bowl configurations, or brand identity materials developed for the Client's juice bar.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and all similar rights in any jurisdiction, registered or unregistered.
"Services" means the professional services described in the Schedule, which may cover recipe R&D, cold-press equipment consulting, nutritional labeling compliance, cleanse program design, or digital marketing for wellness brands. Singular includes plural. Statutory references include amendments and re-enactments.
Status of Parties
The Contractor operates independently and is not an employee, worker, or agent of the Client. All tax liabilities, social contributions, and insurance obligations connected with the delivery of juice bar consulting services are the Contractor's responsibility.
Services and Deliverables
Services are specified in the Schedule and may include cold-press recipe formulation, nutritional profiling, produce supplier sourcing, equipment calibration, cleanse program creation, or wellness brand marketing. Each deliverable must be reviewed and accepted in writing by the Client.
Term and Termination
The engagement commences on the Effective Date and continues for the specified duration. Either Party may terminate in accordance with this clause. On termination, the Contractor shall return all proprietary formulations, supplier information, and Client materials, and deliver outstanding work in progress.
