Parties and Recitals

The Contractor brings the required professional expertise and agrees to perform the Services on the terms stated in this Agreement.
(A) The Client needs contractor support for dough formulation optimization, frying equipment consulting, glaze and topping development, production scheduling, store layout and display design, or marketing targeting morning commuter and weekend brunch demographics.
(B) The Contractor has the baking science knowledge, production experience, or related professional credentials to deliver the Services to an artisan donut production standard.
(C) The Parties wish to establish clear terms for the engagement, including deliverables, payment, intellectual property covering new donut recipes and branding, and the safeguarding of proprietary dough formulations, glaze recipes, and supplier terms.
Definitions and Interpretation
Unless the context requires otherwise, these definitions apply throughout the Agreement.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this could include proprietary dough formulations, frying temperature models, glaze recipes, or production scheduling tools developed before the engagement.
"Confidential Information" means all non-public information exchanged between the Parties, including yeast dough and cake dough recipes, proofing schedules, frying oil compositions and temperature parameters, glaze and frosting formulations, topping sourcing contracts, per-donut cost calculations, daily production yield data, peak-hour sales analytics, and supplier agreements for specialty flours, fillings, and packaging.
"Deliverables" means donut recipes, production SOPs, glaze formulations, training materials, store layout plans, marketing content, or other work product required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as signature donut recipes, glaze innovations, branded packaging concepts, or display strategies developed specifically for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and all equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, potentially covering recipe R&D, frying process consulting, production scheduling, shop design, or donut brand marketing. Singular includes plural. Legislation references include amendments.
Status of Parties
The Contractor operates as an independent contractor, not an employee or agent. All taxes, social contributions, and insurance obligations arising from donut shop consulting services remain the Contractor's sole responsibility.
Services and Deliverables
The Contractor shall perform the services in the Schedule, which may include dough recipe engineering, frying equipment calibration, glaze development, production scheduling, or brand marketing. Deliverables are subject to the Client's written acceptance after inspection.
Term and Termination
This Agreement starts on the Effective Date and continues for the agreed term. Upon termination, the Contractor must return all Client materials including recipes, production logs, and supplier information, and deliver any outstanding work in progress.
