Parties and Recitals
This Independent Contractor Agreement (the "Agreement") is made between the food truck operator identified below (the "Client") and the independent contractor retained to provide professional services (the "Contractor"), together referred to as the "Parties."
The Client operates a mobile food service business, serving prepared food and beverages from one or more food trucks at rotating locations including public events, festivals, corporate campuses, and designated street vending zones. Food truck operations involve unique logistical challenges around route planning, commissary kitchen compliance, mobile health permits, generator power management, and compact kitchen workflow that distinguish them from fixed-location restaurant businesses.
The Contractor has been selected for their relevant expertise and will provide the services outlined herein subject to the terms of this Agreement.
(A) The Client requires specialist support in areas such as truck buildout consulting, mobile kitchen equipment sourcing, route optimization, event booking strategy, menu adaptation for mobile preparation, health department permit navigation, or social media marketing tailored to food truck audiences.
(B) The Contractor possesses demonstrable experience in the food truck or mobile hospitality sector and is capable of delivering the Services to the professional standards the Client requires.
(C) The Parties wish to set out the complete terms of the engagement, including service scope, fee structure, intellectual property provisions, and the handling of confidential information such as proprietary recipes, vendor relationships, and route performance data.
Definitions and Interpretation
The following definitions govern the interpretation of this Agreement.
"Agreement" means this Independent Contractor Agreement, its Schedules, and any written amendments executed by both Parties.
"Background IP" means Intellectual Property Rights owned or licensed by either Party prior to the Effective Date. For the Contractor, this may include existing mobile kitchen layout templates, pre-built route optimization algorithms, or food truck branding portfolios developed independently.
"Confidential Information" means all non-public information disclosed by either Party, including food truck recipes, commissary kitchen arrangements, mobile health permit documentation, event booking contracts, generator and equipment specifications, GPS route performance analytics, average revenue per location, customer foot traffic data, and vendor pricing for mobile-format packaging and supplies.
"Deliverables" means all reports, designs, marketing materials, operational manuals, equipment specifications, or other tangible outputs the Contractor must produce under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the performance of the Services, such as new mobile-adapted recipes, truck wrap designs, or event booking frameworks developed exclusively for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and all equivalent rights, registered or unregistered.
"Services" means the work described in the Schedule, which may include truck buildout oversight, menu engineering for mobile kitchens, event logistics planning, social media content creation, or compliance consulting for mobile food service permits. Statutory references include amendments and re-enactments. Headings are for convenience only.
Status of Parties
The Contractor serves as an independent contractor and is not an employee, agent, or partner of the Client. Responsibility for taxes, insurance, and all statutory obligations connected to the provision of food truck consulting services rests exclusively with the Contractor.
Services and Deliverables
The Contractor shall perform services as outlined in the Schedule, potentially covering truck buildout management, menu adaptation for mobile preparation, event strategy, route planning, or health department compliance. All deliverables are subject to Client review and written acceptance.
Term and Termination
The engagement begins on the Effective Date and continues until the agreed end date or earlier termination under this clause. On termination, the Contractor shall deliver all work in progress and return Client materials including route data, event contracts, and proprietary recipe documentation.
