4. Liability of Members

5. Guarantee and Membership
5.1 The Company has no share capital. Membership is by application and approval of the Board of Trustees in accordance with the Articles.
5.2 Members have equal voting rights at general meetings. Each member is entitled to one vote on any resolution put to the membership.
5.3 The income and property of BrightPath Community Trust shall be applied solely towards the promotion of its charitable objects. No portion of the Company's income or property shall be paid or transferred to the members by way of dividend, bonus, or otherwise howsoever by way of profit.
6. Dissolution
If the Company is dissolved, the assets remaining after satisfaction of all debts and liabilities shall not be paid to or distributed among the members but shall be given or transferred to another charitable body having objects similar to those of BrightPath Community Trust, to be determined by the members at the time of dissolution.
Subscribers & Initial Shareholding
The subscribers to this Memorandum each wish to form BrightPath Community Trust and each undertake to contribute £10 to the assets of the Company in the event of winding up. Each confirms legal capacity.
Objects & Powers of the Company
