Parties and Recitals

The Contractor has agreed to provide the Services described in this Agreement based on their relevant professional background.
(A) The Client seeks contractor support for equipment selection and maintenance consulting, cleaning chemical formulation advisory, technician certification training, commercial contract acquisition strategy, scheduling optimization, or marketing to property managers and homeowners.
(B) The Contractor holds expertise in carpet and textile cleaning operations or field service business management sufficient to deliver the Services professionally.
(C) The Parties formalize this engagement covering deliverables, payment, IP over training curricula and operational systems, and the confidential handling of commercial client contracts, pricing models, and chemical formulations.
Definitions and Interpretation
Unless the context requires otherwise, these definitions apply throughout.
"Agreement" means this Independent Contractor Agreement with all Schedules and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing fiber identification guides, stain treatment decision trees, equipment maintenance checklists, or technician training curricula developed before this engagement.
"Confidential Information" means all non-public information, including proprietary cleaning solution formulations, equipment specifications and maintenance logs, per-job cost calculations, commercial contract terms and pricing, customer property details, technician performance metrics, scheduling route data, and competitive bid documentation.
"Deliverables" means training programs, equipment assessments, chemical formulations, marketing strategies, operational manuals, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom stain treatment protocols, technician certification programs, or commercial sales processes developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering equipment advisory, chemical consulting, technician training, commercial sales strategy, route optimization, or carpet cleaning brand marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor. This Agreement creates no employment or agency relationship. All tax, insurance, and statutory obligations from carpet cleaning consulting services rest with the Contractor.
Services and Deliverables
Services are set out in the Schedule and may include equipment procurement advisory, cleaning chemistry consulting, technician skills training, commercial contract strategy, or route-based marketing. All deliverables require Client written acceptance.
Term and Termination
This Agreement begins on the Effective Date and runs for the agreed duration. On termination, the Contractor shall return Client materials including chemical formulations, client records, and operational documentation, and deliver outstanding work.
