Parties and Recitals
This Independent Contractor Agreement (the "Agreement") is made between the cleaning service business named below (the "Client") and the contractor retained for professional services (the "Contractor").
The Client operates a residential or commercial cleaning service providing scheduled and on-demand cleaning, deep cleaning, move-in/move-out cleans, and potentially specialized services such as post-construction cleanup or biohazard remediation. Cleaning businesses must manage field crews across multiple job sites, maintain quality consistency, handle client property access with care, comply with chemical safety regulations, and scale operations through efficient routing and scheduling. These operational dimensions frequently benefit from external specialist guidance.
The Contractor brings relevant expertise and agrees to perform the Services under the terms of this Agreement.
(A) The Client requires contractor support for operations system design, field staff training programs, chemical and equipment selection, scheduling and routing software integration, quality control frameworks, or marketing to residential or commercial property management segments.
(B) The Contractor possesses professional experience in cleaning service operations, field service management, or a related discipline sufficient to deliver the Services competently.
(C) The Parties wish to document the engagement terms, covering service scope, payment, IP over operational systems and training materials, and confidentiality for client property access codes, pricing models, and staff scheduling data.
Definitions and Interpretation
The following definitions govern this Agreement unless context requires otherwise.
"Agreement" means this Independent Contractor Agreement, all Schedules, and any written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing cleaning workflow checklists, staff training programs, route optimization algorithms, or quality scoring systems developed before this engagement.
"Confidential Information" means all non-public information exchanged between the Parties, including client property access details, cleaning crew compensation structures, per-job cost calculations, chemical product formulations and dilution ratios, scheduling algorithms, route efficiency data, client satisfaction scores, recurring contract terms, and competitive pricing intelligence.
"Deliverables" means operational manuals, training programs, scheduling systems, quality frameworks, marketing strategies, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom cleaning checklists, quality control scoring systems, or client onboarding workflows developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work described in the Schedule, covering operations consulting, staff training, chemical sourcing, scheduling optimization, quality assurance, or cleaning service marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor operates as an independent contractor. No employment, partnership, or agency relationship is created. Tax, insurance, and all statutory obligations arising from cleaning service consulting work are the Contractor's responsibility.
Services and Deliverables
Services are specified in the Schedule and may include operational system design, crew training development, chemical product advisory, route optimization, quality assurance frameworks, or residential/commercial marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement commences on the Effective Date and runs for the agreed period. On termination, the Contractor must return all Client materials including property access records, scheduling data, and operational documentation.
