Parties and Recitals
This Independent Contractor Agreement (the "Agreement") sets out the terms between the pool cleaning service business named below (the "Client") and the contractor retained for specialist services (the "Contractor").
The Client provides swimming pool cleaning, maintenance, and water chemistry management services to residential homeowners, commercial properties, and community facilities. Pool service operations require knowledge of water chemistry balancing (pH, chlorine, alkalinity, calcium hardness), filtration and pump systems, surface treatment, regulatory compliance for public pool standards, and route-based scheduling across geographically distributed client properties.
The Contractor agrees to deliver the Services described herein based on their relevant expertise in pool maintenance, water treatment, or field service management.
(A) The Client needs contractor support for water chemistry training programs, equipment diagnostics and repair consulting, route optimization, commercial pool compliance advisory, seasonal winterization and opening procedures, or marketing to homeowners and property managers.
(B) The Contractor has the technical pool service knowledge or field service operations expertise to deliver the Services to professional standards.
(C) The Parties wish to formalize the engagement, addressing service scope, fees, IP over testing protocols and training systems, and confidentiality for client property access, chemical supplier pricing, and route performance data.
Definitions and Interpretation
The terms below apply throughout this Agreement.
"Agreement" means this Independent Contractor Agreement, its Schedules, and any written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include water chemistry calculation tools, equipment troubleshooting guides, or route scheduling software developed before the engagement.
"Confidential Information" means all non-public information, including client pool specifications, water chemistry test logs, chemical supplier contracts and pricing, equipment maintenance records, route schedules and efficiency metrics, per-stop profitability data, commercial contract terms, and seasonal service pricing structures.
"Deliverables" means training programs, water chemistry protocols, equipment assessments, route plans, marketing strategies, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom water testing protocols, technician training programs, or commercial compliance frameworks developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work described in the Schedule, covering water chemistry consulting, equipment advisory, route optimization, compliance training, or pool service marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor acts as an independent contractor only. No employment, agency, or partnership exists. All tax, insurance, and statutory obligations from pool service consulting are the Contractor's responsibility.
Services and Deliverables
Services are detailed in the Schedule and may include water chemistry training, filtration system advisory, route scheduling optimization, commercial compliance consulting, or seasonal marketing campaigns. Deliverables require Client written acceptance.
Term and Termination
This Agreement begins on the Effective Date and continues for the specified term. On termination, the Contractor must return Client materials including water test records, route data, and client property information.
