Vending Machine Business Contractor Agreement Generator

This Independent Contractor Agreement (the "Agreement") is entered into between the vending machine business specified below (the "Client") and the contractor retained for specialist services (the "Contractor").

The Client operates a vending machine business deploying automated retail units across commercial locations, office buildings, schools, hospitals, or transit hubs. Vending operations involve location scouting and lease negotiation, machine procurement and technical maintenance, product mix optimization based on foot traffic demographics, cashless payment system integration, route servicing logistics, and compliance with health regulations for food and beverage vending. Scaling a vending route efficiently requires specialized knowledge that contractors can provide.

The Contractor has been engaged for their relevant expertise and agrees to perform the Services stated in this Agreement.

(A) The Client needs contractor support for location acquisition strategy, machine technology consulting, product mix analysis, route optimization, payment system integration, regulatory compliance, or marketing to property managers and facility operators.

(B) The Contractor has demonstrable experience in vending operations, automated retail technology, or route-based business consulting.

(C) The Parties wish to document the engagement terms, including service deliverables, compensation, IP over route optimization systems and product selection algorithms, and confidentiality protections for location contracts, revenue per machine, and supplier pricing.

Unless context indicates otherwise, these definitions govern the Agreement.

"Agreement" means this Independent Contractor Agreement, its Schedules, and any written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include route scheduling algorithms, location scoring models, or vending technology evaluation frameworks developed before the engagement.

"Confidential Information" means all non-public information, including location lease terms and commission structures, revenue per machine per location, product mix margin analyses, route servicing schedules, machine malfunction rates, cashless payment system configurations, foot traffic data by location, and supplier contracts for snacks, beverages, and vending consumables.

"Deliverables" means location strategies, route plans, technology assessments, product mix recommendations, marketing materials, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, including route optimization algorithms, location scoring systems, or product selection models developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering location strategy, machine technology consulting, product mix optimization, route planning, payment integration, or B2B marketing. Singular includes plural. Statutory references include amendments.
