Parties and Recitals

This Independent Contractor Agreement (the "Agreement") is made between the real estate business named below (the "Client") and the contractor retained for specialist services (the "Contractor").

The Client operates a real estate business involved in property sales, leasing, management, or development. Real estate operations span transaction management, market analysis, property valuation, marketing, CRM management, and regulatory compliance. The transactional and cyclical nature of real estate creates variable demand for specialist contractor support.

The Contractor has been engaged for their real estate industry or business support expertise.

(A) The Client requires contractor support for market analysis, CRM implementation, property listing marketing, virtual staging, transaction coordination, compliance advisory, or lead generation campaigns.

(B) The Contractor has the real estate operations knowledge or marketing expertise to deliver the Services professionally.

(C) The Parties formalize this engagement, covering deliverables, fees, IP over marketing materials and systems, and the confidential treatment of client property details, transaction data, and commission structures.

Definitions and Interpretation

The terms below apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing market analysis templates, CRM workflows, or virtual staging techniques developed independently.

"Confidential Information" means all non-public information, including property listing details before public release, client personal and financial information, transaction terms, lead databases, CRM data, and competitive brokerage intelligence.

"Deliverables" means market analyses, marketing materials, CRM configurations, property listings, lead generation systems, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom market reports, property marketing campaigns, or transaction workflows developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering market analysis, CRM consulting, listing marketing, transaction coordination, or real estate lead generation. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor, not an employee or agent. All tax, insurance, and statutory obligations from real estate consulting are the Contractor's responsibility.

Services and Deliverables

Services are in the Schedule and may include market research, CRM setup, property marketing, virtual staging, transaction support, or lead generation. Deliverables require Client written acceptance.

Term and Termination

This Agreement commences on the Effective Date and runs for the agreed term. On termination, the Contractor must return all client data, property listings, and CRM records.
