Premium Online Dog Food Contractor Agreement Generator

This Independent Contractor Agreement (the "Agreement") is made between the premium online dog food business below (the "Client") and the contractor providing specialist services (the "Contractor").

The Client operates a direct-to-consumer e-commerce business selling premium, fresh, or customized dog food via subscription and one-time purchase models. Premium pet food operations involve formulation with veterinary nutritionist oversight, regulatory compliance for pet food labeling, co-packer management, cold chain logistics for fresh products, subscription billing, and marketing to health-conscious pet owners.

The Contractor has been retained for their pet nutrition, e-commerce, or consumer brand expertise.

(A) The Client requires support for formulation development, labeling compliance, co-packer selection, subscription optimization, customer retention, or marketing targeting health-conscious pet owners.

(B) The Contractor possesses the pet nutrition or DTC e-commerce expertise to deliver the Services professionally.

(C) The Parties formalize the engagement, covering deliverables, fees, IP over formulations and brand assets, and confidentiality for recipes, supplier pricing, and subscriber data.

The following definitions apply to this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing formulation databases, compliance guides, or subscription optimization frameworks developed independently.

"Confidential Information" means all non-public information, including proprietary recipes, nutritional data, co-packer contracts, per-unit costs, subscriber databases, churn metrics, LTV calculations, cold chain logistics, and marketing CPA data.

"Deliverables" means formulations, compliance documentation, subscription strategies, marketing campaigns, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as new formulations, packaging designs, or retention programs developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering formulation, compliance, co-packer consulting, subscription optimization, or pet food marketing. Singular includes plural. Statutory references include amendments.
