Parties and Recitals
This Independent Contractor Agreement (the "Agreement") governs the engagement between the construction company identified below (the "Client") and the contractor providing specialist services (the "Contractor").
The Client operates a construction company undertaking residential, commercial, or industrial building projects involving site preparation, structural work, mechanical and electrical installations, finishing trades, and project closeout. Construction projects are high-value, multi-stakeholder undertakings requiring rigorous project management, subcontractor coordination, building code compliance, safety program implementation, cost estimation, and schedule management. Contractors bring specialized expertise that supplements the Client's in-house capabilities on specific projects or operational functions.
The Contractor has been retained for their demonstrated expertise in construction management, engineering, safety, or a related professional discipline.
(A) The Client requires contractor support for project estimation and bidding, building code compliance consulting, safety program development, subcontractor prequalification systems, scheduling optimization, or marketing for design-build or general contracting services.
(B) The Contractor possesses relevant qualifications, which may include professional engineering licenses, project management certifications, or construction safety designations.
(C) This Agreement documents the full engagement terms, covering service scope, payment, IP over estimation tools and safety systems, and the confidential handling of project bids, subcontractor pricing, and client project specifications.
Definitions and Interpretation
Unless context indicates otherwise, the following definitions apply.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing cost estimation databases, scheduling templates, safety management systems, or building code compliance checklists developed independently.
"Confidential Information" means all non-public information, including project bid calculations, subcontractor rate sheets, material supplier pricing, profit margin analyses per project, scheduling methodologies, safety incident data, building plan specifications, client identity and project details, and bonding and insurance documentation.
"Deliverables" means estimation models, safety programs, scheduling templates, compliance reports, marketing strategies, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom estimation tools, safety training programs, or project management systems developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering project estimation, code compliance, safety consulting, scheduling, subcontractor management, or construction marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor. No employment, agency, or partnership relationship exists. All tax, insurance, and statutory obligations from construction consulting services are the Contractor's sole responsibility.
Services and Deliverables
Services are specified in the Schedule and may include cost estimation, building code consulting, safety program design, scheduling system implementation, or subcontractor prequalification. Deliverables require Client written acceptance.
Term and Termination
This Agreement commences on the Effective Date and runs for the agreed period. On termination, the Contractor must return all Client materials including project specifications, bid documentation, and safety records.
