Parties and Recitals
This Independent Contractor Agreement (the "Agreement") is entered into between the bed and breakfast business identified below (the "Client") and the contractor engaged for specialist services (the "Contractor").
The Client operates a bed and breakfast offering overnight accommodation with breakfast service in a residential or boutique property setting. B&B operations blend hospitality management with property maintenance, breakfast menu development, guest experience curation, online booking platform optimization, regulatory compliance for short-term accommodation, and marketing that emphasizes the unique character, location, and personal touch that distinguish B&Bs from hotel chains.
The Contractor brings hospitality or property management expertise and agrees to deliver the Services described herein.
(A) The Client requires contractor support for property renovation consulting, breakfast menu development, online booking platform optimization, guest experience design, local tourism partnership strategy, or marketing that builds direct bookings and reduces OTA dependency.
(B) The Contractor possesses relevant hospitality industry knowledge to deliver the Services to the standards expected in boutique accommodation.
(C) The Parties formalize this engagement, covering deliverables, compensation, IP over guest experience frameworks and brand materials, and confidentiality for occupancy rates, ADR data, and guest personal information.
Definitions and Interpretation
The following definitions govern this Agreement.
"Agreement" means this Independent Contractor Agreement, its Schedules, and any written amendments executed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing hospitality training programs, booking optimization frameworks, or guest experience design templates developed before the engagement.
"Confidential Information" means all non-public information, including occupancy rates, average daily rate and RevPAR, OTA commission structures, direct booking conversion data, guest personal details and preferences, breakfast recipes and supplier contracts, property renovation budgets, and tourism partnership terms.
"Deliverables" means guest experience designs, booking strategies, menu plans, marketing materials, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom booking workflows, breakfast concepts, or brand identity elements developed for the Client's B&B.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means work in the Schedule, covering property consulting, guest experience, booking optimization, breakfast development, or B&B marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor, not an employee or agent. Tax, insurance, and statutory obligations from B&B consulting services are the Contractor's sole responsibility.
Services and Deliverables
Services include those in the Schedule, such as property renovation advisory, guest experience design, OTA listing optimization, breakfast program creation, or direct booking marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement commences on the Effective Date and runs for the agreed term. On termination, the Contractor must return all Client property including guest data, booking analytics, and brand materials.
