Parties and Recitals
This Independent Contractor Agreement (the "Agreement") sets out the terms between the campground business below (the "Client") and the contractor retained for specialist work (the "Contractor").

The Contractor has been engaged for their outdoor hospitality or recreation management expertise.
(A) The Client requires contractor support for site design and utility planning, reservation system integration, amenity development, seasonal staffing models, environmental compliance, or marketing targeting RV travelers and family campers.
(B) The Contractor possesses the campground management or outdoor hospitality knowledge to deliver the Services competently.
(C) This Agreement covers deliverables, payment, IP over reservation systems and programming designs, and the protection of confidential occupancy data, site revenue, and guest information.
Definitions and Interpretation
These definitions govern the Agreement.
"Agreement" means this Independent Contractor Agreement, its Schedules, and any written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing campground layout templates, reservation platform guides, or seasonal programming calendars developed independently.
"Confidential Information" means all non-public information, including site-level occupancy and revenue data, utility infrastructure costs, reservation platform terms, seasonal staffing budgets, environmental compliance records, and guest demographic profiles.
"Deliverables" means site plans, reservation strategies, programming calendars, compliance reports, marketing plans, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom site layouts, activity programs, or booking optimization workflows developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means work in the Schedule, covering site planning, reservation management, amenity design, environmental compliance, or campground marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor. No employment, agency, or partnership exists. Tax, insurance, and statutory obligations from campground consulting are the Contractor's sole responsibility.
Services and Deliverables
Services include those in the Schedule, such as site layout design, reservation system consulting, recreational programming, environmental compliance, or outdoor tourism marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement begins on the Effective Date and continues for the specified term. On termination, the Contractor shall return all Client property including site plans, reservation data, and guest records.
