Parties and Recitals

This Independent Contractor Agreement (the "Agreement") is entered into between the fitness or gym business named below (the "Client") and the contractor engaged for specialist services (the "Contractor").

Fitness businesses manage complex membership billing, equipment procurement, class scheduling, trainer credentialing, and member retention in a competitive market where annual attrition rates average 30 to 50 percent.

The Contractor has been retained for their fitness industry or business operations expertise.

(A) The Client requires contractor support for membership sales strategy, group fitness programming, equipment procurement, facility design, personal training program development, or marketing targeting fitness demographics.

(B) The Contractor holds relevant fitness certifications or gym management expertise to deliver the Services professionally.

(C) This Agreement covers deliverables, fees, IP over training programs and operational systems, and confidentiality for membership data, revenue metrics, and equipment pricing.

Definitions and Interpretation

The terms below govern this Agreement.

"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing workout libraries, class formats, or membership retention frameworks developed independently.

"Confidential Information" means all non-public information, including membership databases, MRR, attrition rates, equipment costs, class attendance, personal training revenue, facility lease terms, and competitive pricing intelligence.

"Deliverables" means training programs, class schedules, membership strategies, equipment plans, marketing materials, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom class formats, workout programs, or member engagement campaigns developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering membership sales, class programming, equipment consulting, facility design, or fitness marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor, not an employee or agent. Tax, insurance, and all statutory obligations from fitness consulting are the Contractor's sole responsibility.

Services and Deliverables

Services are in the Schedule and may include membership retention strategy, group fitness programming, equipment procurement, facility layout, or member acquisition marketing. Deliverables require Client written acceptance.

Term and Termination

This Agreement commences on the Effective Date and runs for the agreed term. On termination, the Contractor must return all Client property including membership data, program designs, and equipment specs.
