Parties and Recitals
This Independent Contractor Agreement (the "Agreement") governs the engagement between the butcher shop business identified below (the "Client") and the specialist contractor (the "Contractor").

Butchery involves skilled knife work, carcass breakdown knowledge, aging chamber management, cold chain compliance, traceability documentation from farm to counter, and adherence to food safety regulations governing raw animal protein handling. The trade's emphasis on craftsmanship and provenance creates opportunities for differentiation that benefit from external specialist input.
The Contractor has been retained for their demonstrated expertise in meat processing, butchery operations, or a related discipline.
(A) The Client requires support for areas including whole-carcass utilization programs, dry-aging facility consulting, charcuterie and value-added product development, cold chain compliance audits, wholesale channel strategy, or brand marketing centered on provenance and craft.
(B) The Contractor holds the technical butchery knowledge and professional experience to deliver the Services to artisan and commercial standards.
(C) The Parties formalize the engagement terms, covering service scope, payment, IP ownership over new product formulations and brand concepts, and confidentiality protections for supplier relationships, aging parameters, and pricing structures.
Definitions and Interpretation
The definitions below apply throughout this Agreement.
"Agreement" means this Independent Contractor Agreement with all Schedules and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include proprietary carcass yield optimization models, charcuterie curing formulations, or cold chain monitoring systems developed before this engagement.
"Confidential Information" means all non-public information exchanged between the Parties, including farm-to-counter supply chain details, wholesale pricing per cut, dry-aging chamber temperature and humidity parameters, curing recipes, sausage and charcuterie formulations, carcass yield percentages, profit margins by primal cut, traceability documentation systems, and restaurant wholesale client lists.
"Deliverables" means product formulations, production SOPs, cold chain compliance reports, training materials, marketing content, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, including new charcuterie recipes, sausage formulations, aging protocols, or branded retail packaging developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and all equivalent rights in any jurisdiction.
"Services" means the work described in the Schedule, covering butchery consulting, dry-aging facility design, charcuterie development, cold chain compliance, wholesale strategy, or craft butcher branding. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor acts as an independent contractor. No employment, agency, or partnership relationship exists. Taxes, insurance, and all statutory obligations connected to butchery consulting services are the Contractor's responsibility.
Services and Deliverables
Services are specified in the Schedule and may include carcass utilization advisory, dry-aging facility consulting, charcuterie product development, cold chain auditing, or wholesale channel strategy. All deliverables require the Client's written acceptance.
Term and Termination
This Agreement begins on the Effective Date and runs for the agreed period. On termination, the Contractor must return Client materials including supplier contacts, product formulations, and traceability documentation, and deliver outstanding work.
