Parties and Recitals

This Independent Contractor Agreement (the "Agreement") establishes the terms between the e-commerce business named below (the "Client") and the contractor providing specialist services (the "Contractor").

The Client operates an e-commerce business selling products through its own online store and potentially through marketplace channels. E-commerce operations span catalog management, inventory and fulfillment logistics, payment gateway integration, conversion rate optimization, customer service systems, and multi-channel digital marketing. The technical and marketing demands of scaling create frequent needs for specialist contractor support.

The Contractor has been engaged for their relevant expertise in e-commerce technology, marketing, logistics, or operations.

(A) The Client requires contractor support for platform development, product listing optimization, fulfillment workflow design, payment integration, CRO, email marketing, or paid advertising campaign management.

(B) The Contractor holds the e-commerce operations or digital marketing expertise to deliver the Services professionally.

(C) The Parties formalize the engagement, covering deliverables, payment, IP over store designs and automation workflows, and the protection of confidential product margins, customer data, and advertising metrics.

Definitions and Interpretation

The following definitions apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing e-commerce templates, email automation sequences, or CRO testing frameworks developed before the engagement.

"Confidential Information" means all non-public information, including product cost prices and margins, supplier contracts, customer databases, conversion rates, advertising spend and ROAS, email subscriber lists, fulfillment costs per order, and payment gateway configurations.

"Deliverables" means store designs, product listings, marketing campaigns, automation workflows, analytics reports, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom store themes, email sequences, or advertising creative developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering platform development, catalog optimization, fulfillment consulting, CRO, email marketing, or paid advertising. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor, not an employee or agent. All tax, insurance, and statutory obligations from e-commerce consulting are the Contractor's responsibility.

Services and Deliverables

Services include those in the Schedule, such as storefront development, product listing optimization, fulfillment workflow design, conversion testing, or multi-channel advertising. Deliverables require Client written acceptance.

Term and Termination

This Agreement commences on the Effective Date and runs for the agreed term. On termination, the Contractor must return all Client property including store access, customer data, and marketing assets.
