Mortuary Contractor Agreement Generator

This Independent Contractor Agreement (the "Agreement") is made between the mortuary business identified below (the "Client") and the contractor providing specialist services (the "Contractor").

The Client operates a mortuary providing body preparation, embalming, cremation, and related deathcare services. Mortuary operations involve strict regulatory compliance for handling human remains, chemical safety, cremation equipment maintenance, chain-of-custody documentation, and ethical standards governing interactions with grieving families and referring funeral homes.

The Contractor has been retained for their mortuary science, compliance, or operational expertise.

(A) The Client requires support for regulatory compliance, facility modernization, cremation equipment consulting, staff certification training, workflow optimization, or marketing to funeral homes and direct cremation channels.

(B) The Contractor possesses the mortuary science knowledge to deliver the Services to regulatory and professional standards.

(C) The Parties document the engagement, covering deliverables, fees, IP over training and systems, and strict confidentiality for decedent records, facility compliance data, and business financials.

The terms below apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing embalming protocols, cremation guides, or compliance checklists developed before the engagement.

"Confidential Information" means all non-public information, including decedent records, chain-of-custody documentation, embalming and cremation logs, facility inspection reports, equipment costs, staff certifications, and referral agreements.

"Deliverables" means compliance programs, training curricula, equipment assessments, workflow designs, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom compliance frameworks or operational workflows developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering regulatory compliance, facility consulting, cremation equipment, staff training, or mortuary marketing. Singular includes plural. Statutory references include amendments.
