Parties and Recitals

This Independent Contractor Agreement (the "Agreement") is entered into between the consulting firm identified below (the "Client") and the contractor retained for professional services (the "Contractor").

The Client operates a consulting practice providing advisory services across strategy, operations, technology, finance, or specialized industry domains. Consulting firms regularly engage independent contractors to supplement capacity, provide niche expertise, or support business development and thought leadership functions that drive pipeline growth.

The Contractor has been selected for their domain expertise and agrees to perform the Services under this Agreement.

(A) The Client requires contractor support for client engagement delivery, research and analysis, methodology development, thought leadership creation, business development support, or marketing that positions the firm's expertise.

(B) The Contractor holds the consulting or subject-matter expertise to deliver the Services to the professional standards expected by the Client's end clients.

(C) The Parties formalize this engagement, covering deliverables, fees, IP over methodologies and deliverables, and the strict protection of proprietary frameworks, client identities, and fee structures.

Definitions and Interpretation

The following terms apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing research methodologies, analytical frameworks, or published thought leadership developed before the engagement.

"Confidential Information" means all non-public information, including the Client's proprietary consulting frameworks, end-client identities and engagement details, fee structures, proposal documents, research data, and internal performance metrics.

"Deliverables" means research reports, strategy documents, presentations, methodology frameworks, marketing content, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom analytical models, client presentation materials, or thought leadership content developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering client delivery, research, methodology development, thought leadership, or consulting firm marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor. No employment, agency, or partnership exists. Tax, insurance, and all statutory obligations from consulting work are the Contractor's sole responsibility.

Services and Deliverables

Services are in the Schedule and may include client engagement support, market research, methodology design, thought leadership writing, or business development. Deliverables require Client written acceptance.

Term and Termination

This Agreement starts on the Effective Date and runs for the agreed term. On termination, the Contractor must return all Client property including engagement data, frameworks, and end-client information.
