Parties and Recitals
This Independent Contractor Agreement (the "Agreement") records the terms under which the cafe business named below (the "Client") engages the contractor for professional services (the "Contractor").
The Client operates a cafe offering coffee beverages, light meals, pastries, and a relaxed dining environment for patrons seeking a workspace, social gathering point, or casual dining experience. Cafe operations span beverage preparation, food production, ambiance curation, Wi-Fi and technology infrastructure, and the cultivation of a loyal local customer base. Competing effectively in the cafe market often requires external expertise in product quality, operational efficiency, or brand differentiation.
The Contractor has agreed to provide the services described herein and holds the professional qualifications to do so.
(A) The Client requires contractor support for areas that may include coffee and beverage program refinement, food menu development, interior design consulting, operational workflow analysis, technology integration, or community-focused marketing strategies.
(B) The Contractor possesses relevant experience in cafe operations, hospitality consulting, or a related professional discipline and will perform the Services with due care and competence.
(C) The Parties agree to formalize the complete engagement terms, covering service deliverables, payment, intellectual property rights over menu innovations and brand elements, and the confidential treatment of recipes, vendor arrangements, and revenue data.
Definitions and Interpretation
Throughout this Agreement the following terms shall carry the meanings stated below.
"Agreement" means this Independent Contractor Agreement, its Schedules, and any written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights of either Party. For the Contractor, this could include existing cafe design portfolios, beverage recipe databases, or hospitality training frameworks developed independently.
"Confidential Information" means all non-public information, including coffee sourcing contracts, beverage recipes, food menu formulations, vendor pricing, interior design concepts, technology stack details, customer demographics and visit frequency data, loyalty program structures, revenue per daypart, and daily footfall analytics.
"Deliverables" means beverage recipes, food menu designs, interior concepts, training guides, marketing strategies, technology integration plans, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights arising from the Services, such as new signature drinks, food offerings, brand identity elements, or operational systems developed for the Client's cafe.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work outlined in the Schedule, potentially covering beverage consulting, menu development, interior design, workflow optimization, tech integration, or local marketing. Singular includes plural. Legislation references include amendments.
Status of Parties
The Contractor acts as an independent contractor, not an employee or agent. Tax obligations, insurance, and all statutory responsibilities arising from cafe consulting services are borne by the Contractor alone.
Services and Deliverables
Services shall be performed as specified in the Schedule, which may include beverage program development, food menu consulting, interior design, operational workflow analysis, or community marketing strategy. Deliverables require the Client's written acceptance.
Term and Termination
The engagement starts on the Effective Date and continues through the agreed term. On termination, the Contractor shall deliver all outstanding work and return Client property including recipes, design concepts, and customer analytics data.
