Parties and Recitals
This Independent Contractor Agreement (the "Agreement") defines the terms under which the car wash business below (the "Client") engages the contractor for specialist services (the "Contractor").
The Client operates a car wash facility, which may include express tunnel, full-service, self-service, or mobile detailing operations. Car wash businesses involve chemical procurement and dilution management, water reclamation system compliance, conveyor and equipment maintenance, membership and subscription program design, and marketing to drive repeat visits in a location-dependent business model.
The Contractor has been engaged for relevant expertise and agrees to perform the Services on the terms described in this Agreement.
(A) The Client requires contractor support for wash chemistry optimization, equipment maintenance consulting, water reclamation compliance, membership program design, POS and payment system integration, or marketing to drive subscription conversions and customer retention.
(B) The Contractor possesses the car wash operations knowledge or service business expertise to deliver the Services professionally.
(C) The Parties wish to formalize the engagement, covering deliverables, fees, IP over chemical formulations and membership systems, and the confidential handling of chemical costs, revenue per car, and membership conversion data.
Definitions and Interpretation
The terms below govern this Agreement.
"Agreement" means this Independent Contractor Agreement, its Schedules, and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing wash chemical formulations, equipment maintenance schedules, membership pricing models, or water reclamation system designs developed independently.
"Confidential Information" means all non-public information, including wash chemical formulations and supplier pricing, water usage and reclamation data, equipment maintenance costs and schedules, per-wash revenue and profit margins, membership subscription conversion rates, POS transaction analytics, and promotional campaign performance.
"Deliverables" means chemical recommendations, equipment assessments, membership designs, water compliance reports, marketing plans, or other outputs under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom wash programs, membership tier structures, or loyalty campaign designs developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering wash chemistry, equipment consulting, water compliance, membership design, payment integration, or car wash marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor, not an employee or agent. Tax, insurance, and statutory obligations from car wash consulting are the Contractor's sole responsibility.
Services and Deliverables
Services are described in the Schedule and may include wash chemical optimization, equipment procurement advisory, water reclamation compliance, subscription program design, or retention marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement starts on the Effective Date and runs for the specified duration. On termination, the Contractor must return Client materials including chemical data, equipment records, and membership analytics.
