Parties and Recitals

This Independent Contractor Agreement (the "Agreement") is entered into between the towing company named below (the "Client") and the contractor retained for professional services (the "Contractor").

The Client operates a towing company providing roadside assistance, accident recovery, private property impoundment, and vehicle transport services. Towing operations require specialized equipment knowledge (flatbeds, wheel-lifts, heavy-duty wreckers), dispatch coordination for rapid response, compliance with state and local towing regulations, police rotation list requirements, impound lot management, and insurance coverage appropriate for transporting third-party vehicles of varying values.

The Contractor has been selected for relevant expertise in towing operations, fleet management, or field service logistics.

(A) The Client requires contractor support for dispatch system optimization, driver training and safety certification, fleet maintenance planning, municipal and police rotation enrollment, impound lot compliance, or marketing to motor clubs, insurance companies, and property management firms.

(B) The Contractor possesses the operational knowledge to deliver the Services to the standards expected in the towing and roadside assistance industry.

(C) This Agreement covers the complete engagement, including deliverables, fees, IP over dispatch systems and training materials, and confidentiality for motor club contract rates, impound fee structures, and fleet maintenance costs.

Definitions and Interpretation

Unless context requires otherwise, these definitions apply throughout.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing dispatch algorithms, driver training programs, fleet maintenance schedules, or impound management systems developed before the engagement.

"Confidential Information" means all non-public information, including motor club contract rates, impound fee schedules, police rotation list positions, per-tow cost calculations, fleet insurance premiums, driver wage rates, dispatch response time data, and property management towing agreements.

"Deliverables" means dispatch systems, training programs, fleet plans, compliance frameworks, marketing strategies, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, including custom dispatch workflows, driver certification programs, or commercial account acquisition tools developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering dispatch optimization, driver training, fleet management, regulatory compliance, commercial sales, or towing marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor. No employment, agency, or partnership exists. All tax, insurance, and statutory obligations from towing consulting services are the Contractor's sole responsibility.

Services and Deliverables

Services include those in the Schedule, such as dispatch system design, driver safety training, fleet maintenance planning, police rotation enrollment strategy, or B2B marketing. Deliverables require Client written acceptance.

Term and Termination

This Agreement commences on the Effective Date and continues for the agreed term. On termination, the Contractor must return all Client property including dispatch records, fleet data, and commercial contract information.
