Parties and Recitals
This Independent Contractor Agreement (the "Agreement") is entered into between the wedding venue operator identified below (the "Client") and the independent contractor providing specialist event or venue services (the "Contractor"), together the "Parties."
The Client operates a licensed wedding venue hosting ceremonies, receptions, and associated celebrations. Wedding venue operations encompass ceremony coordination, reception logistics, vendor management, floral and decor oversight, catering liaison, guest accommodation coordination, licensing compliance, and the delivery of a seamless experience across the full wedding day timeline. The Client engages specialist contractors for on-the-day coordination, floral design, photography, videography, lighting design, and venue styling to supplement its permanent team and offer couples a curated roster of trusted professionals.
The Contractor holds relevant event or creative credentials and will perform the services described in this Agreement.
(A) The Client requires independent contractors for on-the-day wedding coordination, floral design, venue styling, lighting and AV production, photography direction, or guest experience management at the venue during the wedding season and selected off-season events.
(B) The Contractor possesses demonstrable wedding industry experience and will deliver the Services to the premium standard the Client's venue reputation requires.
(C) Both Parties seek to formalise the arrangement, covering service scope, fee structure, ownership of creative work such as floral designs and styling concepts, and the protection of couple booking data, vendor pricing, and venue operational procedures.
Definitions and Interpretation
The following definitions govern this Agreement unless the context demands otherwise.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing floral design portfolios, event styling templates, lighting design presets, or coordination run-sheet frameworks developed before this engagement.
"Confidential Information" means all non-public information, including couple personal details, wedding budgets, vendor commission structures, venue hire pricing, seasonal booking calendars, catering cost per head, and proprietary venue floor plans and ceremony layouts shared between the Parties.
"Deliverables" means coordination run sheets, floral design proposals, venue styling plans, lighting schematics, photography shot lists, or other tangible outputs the Contractor must produce under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as bespoke ceremony layouts, branded styling packages, or couple experience programmes developed exclusively for the Client's venue.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction, registered or unregistered.
"Services" means the wedding coordination and related work described in the Schedule, covering on-the-day coordination, floral design, venue styling, lighting production, or guest experience management. Statutory references include amendments. Singular includes plural.
Status of Parties
The Contractor is an independent contractor, not an employee, worker, or agent of the Client. All tax, insurance, and statutory obligations arising from wedding coordination or creative services performed at the venue remain the Contractor's sole responsibility.
Services and Deliverables
The Contractor shall deliver services as outlined in the Schedule, which may include on-the-day coordination, floral installation, venue styling, lighting design, or photography direction. Services must align with the Client's venue standards and the couple's approved design brief. Deliverables require written acceptance.
Term and Termination
This Agreement commences on the Effective Date and continues for the agreed term or wedding season. On termination, the Contractor must return all Client property including venue access credentials, couple booking files, and proprietary styling documentation.
