Funeral Home Contractor Agreement Generator

This Independent Contractor Agreement (the "Agreement") establishes the terms between the funeral home named below (the "Client") and the contractor providing professional services (the "Contractor").

The Client operates a funeral home providing arrangement conferences, embalming, cremation, memorial services, and aftercare support. Funeral service operations are heavily regulated, requiring compliance with mortuary licensing, pricing disclosure rules, environmental regulations for embalming chemicals and cremation emissions, and the sensitivity demanded when serving bereaved families.

The Contractor has been engaged for their funeral industry, compliance, or business management expertise.

(A) The Client requires support for regulatory compliance, pre-need sales program development, facility renovation, aftercare program design, digital memorial services, or community awareness marketing.

(B) The Contractor possesses the funeral service knowledge to deliver the Services with appropriate dignity and professionalism.

(C) The Parties formalize the engagement, covering deliverables, payment, IP over programs and systems, and the strict protection of decedent records, family information, and business financial data.

The following definitions govern this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing compliance templates, pre-need designs, or funeral marketing frameworks developed before the engagement.

"Confidential Information" means all non-public information, including decedent and family records, pre-need portfolios, service pricing and merchandise margins, embalming and cremation logs, operational costs, trust fund balances, and compliance documentation.

"Deliverables" means compliance frameworks, program designs, facility plans, aftercare materials, marketing strategies, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as pre-need structures, digital memorial platforms, or community outreach campaigns developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering regulatory compliance, pre-need development, facility planning, aftercare, or funeral home marketing. Singular includes plural. Statutory references include amendments.
