Airbnb Rental Contractor Agreement Generator

This Independent Contractor Agreement (the "Agreement") governs the engagement between the Airbnb rental business below (the "Client") and the contractor providing professional services (the "Contractor").

The Client operates a short-term rental business listing properties on Airbnb and similar booking platforms. Short-term rental management involves dynamic pricing optimization, professional photography and listing copywriting, guest communication automation, turnover cleaning coordination, local regulatory compliance for vacation rentals, and multi-platform distribution to maximize occupancy while managing operational complexity as properties scale.

The Contractor has been retained for their short-term rental management expertise.

(A) The Client requires contractor support for dynamic pricing tool implementation, listing optimization across multiple platforms, guest experience automation, cleaning and maintenance coordination systems, local STR compliance, or marketing that builds direct booking channels.

(B) The Contractor possesses the vacation rental operations expertise to deliver the Services professionally.

(C) The Parties formalize the engagement, covering deliverables, payment, IP over pricing algorithms and automation workflows, and confidentiality for property revenue data, guest information, and pricing strategies.

The terms below apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing pricing optimization models, guest communication templates, or STR compliance checklists developed independently.

"Confidential Information" means all non-public information, including property revenue and nightly rate data, occupancy percentages, OTA commission structures, dynamic pricing parameters, guest personal details, cleaning crew costs, maintenance budgets, and local regulatory filings.

"Deliverables" means pricing strategies, listing content, automation workflows, compliance guides, marketing plans, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom pricing models, guest communication sequences, or direct booking funnels developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering dynamic pricing, listing optimization, guest automation, turnover management, compliance, or STR marketing. Singular includes plural. Statutory references include amendments.
