Parties and Recitals
This Independent Contractor Agreement (the "Agreement") establishes the terms between the used car dealership identified below (the "Client") and the contractor engaged for professional services (the "Contractor").
The Client operates a used car dealership buying, reconditioning, and selling pre-owned vehicles to retail customers. Used car operations require expertise in vehicle acquisition at auction and through trade-ins, reconditioning cost management, competitive pricing using market data tools, compliance with consumer protection regulations for used vehicle sales, financing and F&I product presentation, and digital marketing across classified platforms and social media channels.
The Contractor brings relevant expertise and agrees to deliver the Services under the terms of this Agreement.
(A) The Client requires contractor support for vehicle acquisition strategy, reconditioning workflow optimization, pricing tool integration, F&I product training, digital inventory marketing, compliance with used car sale regulations, or sales process development.
(B) The Contractor possesses the automotive retail expertise or dealership operations knowledge to deliver the Services to a professional standard.
(C) The Parties formalize this engagement, covering service scope, payment, IP over pricing tools and sales processes, and confidentiality for acquisition costs, reconditioning margins, and customer financing data.
Definitions and Interpretation
The following definitions govern this Agreement.
"Agreement" means this Independent Contractor Agreement, its Schedules, and any written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing vehicle appraisal frameworks, auction buying algorithms, reconditioning checklists, or sales training programs developed before the engagement.
"Confidential Information" means all non-public information, including vehicle acquisition costs, auction purchase data, reconditioning expense breakdowns, retail pricing strategies, per-unit profit margins, F&I product penetration rates, customer credit application data, lender relationships and approval rates, and digital marketing cost-per-lead metrics.
"Deliverables" means acquisition strategies, pricing tools, training programs, compliance systems, marketing plans, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom appraisal tools, sales process scripts, or digital inventory marketing frameworks developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering vehicle acquisition, reconditioning consulting, pricing optimization, F&I training, compliance, or dealership marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor acts as an independent contractor. No employment, partnership, or agency exists. Tax, insurance, and statutory obligations from used car dealership consulting rest with the Contractor alone.
Services and Deliverables
Services include those described in the Schedule, such as auction buying strategy, reconditioning workflow design, market-based pricing integration, F&I training, or digital inventory advertising. Deliverables require Client written acceptance.
Term and Termination
This Agreement begins on the Effective Date and continues for the agreed period. On termination, the Contractor must return all Client materials including acquisition data, pricing models, and customer records.
