Parties and Recitals

This Independent Contractor Agreement (the "Agreement") establishes the terms between the wine bar business named below (the "Client") and the independent contractor engaged for professional services (the "Contractor").

The Client operates a wine bar offering curated wine selections by the glass and bottle, often accompanied by charcuterie, cheese boards, and small plates. Wine bar operations require specialized knowledge of viticulture regions, varietals, vintages, wine storage conditions, serving temperatures, sommelier-level tasting protocols, and licensing requirements for alcohol service. These factors, combined with the need for sophisticated interior ambiance and knowledgeable front-of-house staff, frequently necessitate external specialist engagement.

The Contractor has been identified as possessing relevant expertise for the Client's requirements and agrees to perform the Services under the terms herein.

(A) The Client seeks contractor support for wine list curation, sommelier training, cellar management consulting, food pairing program development, interior design, licensing advisory, or targeted marketing to wine enthusiast demographics.

(B) The Contractor holds appropriate credentials, which may include WSET certification, Court of Master Sommeliers designation, or equivalent professional experience in wine service and hospitality.

(C) The Parties wish to formalize the engagement, addressing service deliverables, compensation structure, intellectual property covering curated wine lists and tasting event formats, and confidentiality protections for supplier pricing, cellar inventory valuations, and customer preference data.

Definitions and Interpretation

Unless the context requires otherwise, the following definitions apply throughout this Agreement.

"Agreement" means this Independent Contractor Agreement together with all Schedules and amendments signed by both Parties.

"Background IP" means Intellectual Property Rights owned by either Party before the Effective Date. For the Contractor, this could include existing wine education curricula, tasting note databases, sommelier training programs, or wine region analysis frameworks.

"Confidential Information" means all non-public information exchanged by the Parties, including wine supplier contracts, wholesale pricing per bottle, cellar inventory valuations, wine list markup strategies, tasting event revenue data, customer purchase histories and preference profiles, food pairing matrices, and front-of-house service scripts specific to wine presentation.

"Deliverables" means curated wine lists, training manuals, tasting event programs, cellar management plans, marketing materials, or other work product required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the engagement, such as proprietary wine list architectures, food and wine pairing programs, or sommelier certification curricula developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the professional services outlined in the Schedule, which may include wine program development, staff training, cellar consulting, event curation, or beverage marketing strategy. Singular includes plural. Legislation references include amendments.

Status of Parties

The Contractor acts as an independent contractor. This Agreement creates no employment, agency, or partnership relationship. Tax obligations, insurance, and all regulatory responsibilities arising from wine consulting services remain with the Contractor.

Services and Deliverables

Services are specified in the Schedule and may include wine list development, sommelier training delivery, cellar inventory management, tasting event design, or beverage program marketing. Deliverables are subject to the Client's review and written acceptance.

Term and Termination

This Agreement begins on the Effective Date and continues for the agreed term. On termination, the Contractor must return all Client property including wine lists, supplier agreements, customer data, and any cellar management documentation.
