The Contractor has been retained for their healthcare operations, regulatory, or business consulting expertise.

(A) The Client requires contractor support for regulatory compliance, billing optimization, EHR integration, practice management workflow design, patient experience improvement, or healthcare marketing that adheres to medical advertising regulations.

(B) The Contractor holds the healthcare industry qualifications to deliver the Services in compliance with applicable regulations.

(C) The Parties formalize this engagement, covering deliverables, payment, IP over operational systems, and the strict protection of patient health information and billing records per applicable data protection legislation.

Definitions and Interpretation

The following definitions apply to this Agreement.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing compliance audit frameworks, billing methodologies, or practice management templates developed before the engagement.

"Confidential Information" means all non-public information, including patient health records, clinical protocols, billing codes, insurance contract terms, EHR configurations, practice revenue data, staff credentials, and regulatory audit findings. Patient data must be handled per applicable healthcare privacy legislation.

"Deliverables" means compliance frameworks, billing analyses, EHR specifications, training programs, marketing plans, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom compliance programs, patient workflows, or healthcare marketing materials developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means work in the Schedule, covering compliance, billing optimization, EHR integration, practice management, or healthcare marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor is an independent contractor. No employment, agency, or clinical relationship exists. Tax, insurance, and statutory obligations from healthcare consulting are the Contractor's sole responsibility.

Services and Deliverables

Services are in the Schedule and may include regulatory compliance, billing optimization, EHR workflow design, patient experience consulting, or healthcare marketing. Deliverables require Client written acceptance.

Term and Termination

This Agreement begins on the Effective Date and continues for the agreed term. On termination, all patient data must be returned or securely destroyed per applicable healthcare privacy requirements.
