Parties and Recitals
This Independent Contractor Agreement (the "Agreement") formalizes the engagement between the microbrewery identified below (the "Client") and the independent contractor providing professional services (the "Contractor").
The Client operates a microbrewery producing craft beer, ale, lager, cider, or related fermented beverages in limited batches. Craft brewing involves specialized knowledge of grain bills, hop varieties, yeast strain management, mash temperature profiles, fermentation monitoring, carbonation levels, barrel aging programs, and compliance with alcohol production licensing. External specialists play a critical role in scaling production, developing new recipes, maintaining quality control, and navigating regulatory requirements.
The Contractor has been selected for their demonstrated expertise in brewing science, brewery operations, or a relevant supporting discipline.
(A) The Client requires specialist support for areas including recipe formulation, brewhouse equipment consulting, quality assurance laboratory setup, taproom design, distribution strategy, or regulatory compliance for alcohol production and sales.
(B) The Contractor represents that they hold appropriate qualifications, which may include brewing certifications, Cicerone credentials, or equivalent professional experience in craft beverage production.
(C) The Parties wish to document the engagement terms comprehensively, addressing service scope, compensation, ownership of newly developed recipes and brewing processes, and the confidential treatment of proprietary formulations, yeast cultures, and supplier arrangements.
Definitions and Interpretation
The terms defined below shall carry these meanings throughout this Agreement.
"Agreement" means this Independent Contractor Agreement with all Schedules and written amendments executed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights of either Party. For the Contractor, this may include proprietary yeast strain libraries, hop utilization models, existing recipe databases, or quality control testing protocols developed independently.
"Confidential Information" means all non-public information disclosed by either Party, including grain bills, hop schedules, mash temperature profiles, yeast propagation procedures, fermentation logs, carbonation specifications, barrel aging timelines, taproom revenue data per SKU, distributor contracts, production cost breakdowns, and water chemistry treatment records.
"Deliverables" means recipes, brewing SOPs, lab testing protocols, taproom design plans, distribution strategy documents, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights developed during the Services, such as new beer recipes, proprietary yeast strains, quality control procedures, or branding concepts created specifically for the Client's microbrewery.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and all equivalent rights registered or unregistered in any jurisdiction.
"Services" means the work specified in the Schedule, covering areas such as recipe development, brewhouse consulting, quality assurance, taproom operations, distribution planning, or licensing compliance. Statutory references include amendments. Singular includes plural.
Status of Parties
The Contractor operates as an independent contractor. No employment, partnership, or agency relationship is created by this Agreement. The Contractor is solely responsible for taxes, insurance, and statutory obligations arising from the delivery of brewing consulting services.
Services and Deliverables
The Contractor shall perform the services described in the Schedule, which may include recipe formulation, brewhouse layout optimization, quality lab setup, taproom design, or regulatory compliance advisory. All deliverables are subject to Client review and written acceptance.
Term and Termination
This Agreement starts on the Effective Date and continues through the agreed term unless terminated earlier. Following termination, the Contractor must return all Client materials including recipes, yeast cultures, brewing logs, and distributor information.
