The Contractor has been retained for their mobile service operations expertise or automotive technical knowledge.
(A) The Client needs contractor support for service vehicle outfitting, dispatch and scheduling system implementation, mobile diagnostic tool consulting, parts procurement logistics, customer communication protocols, or digital marketing targeting vehicle owners who prefer at-home service.
(B) The Contractor holds the automotive repair knowledge or mobile service business expertise to deliver the Services professionally.
(C) This Agreement covers all terms including deliverables, payment, IP over dispatch systems and service protocols, and the protection of confidential pricing, service area data, and customer records.
Definitions and Interpretation
The following definitions apply unless context indicates otherwise.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this may include existing mobile dispatch algorithms, service vehicle equipment lists, or customer communication templates developed before the engagement.
"Confidential Information" means all non-public information, including service pricing and labor rates, dispatch scheduling data, parts procurement costs and supplier terms, service area performance analytics, customer location details, booking conversion rates, and mobile diagnostic tool configurations.
"Deliverables" means dispatch systems, equipment lists, training materials, marketing strategies, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as custom dispatch workflows, service pricing calculators, or digital booking funnels developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means the work in the Schedule, covering vehicle outfitting, dispatch optimization, parts logistics, diagnostic consulting, or mobile mechanic marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor. No employment, partnership, or agency relationship exists. All tax, insurance, and statutory obligations from mobile mechanic consulting are the Contractor's responsibility.
Services and Deliverables
Services include those in the Schedule, such as service vehicle setup consulting, dispatch system development, parts sourcing strategy, or geo-targeted digital marketing. Deliverables require Client written acceptance.
Term and Termination
This Agreement starts on the Effective Date and runs for the agreed period. On termination, the Contractor shall return Client materials including dispatch data, pricing models, and customer information.
