Parties and Recitals
This Independent Contractor Agreement (the "Agreement") governs the engagement between the fashion brand named below (the "Client") and the contractor providing professional services (the "Contractor").
The Client operates a fashion brand designing, producing, and selling apparel, accessories, or footwear through DTC and wholesale channels. Fashion operations span creative design, sourcing, quality control, seasonal planning, campaign production, and brand storytelling that builds emotional connection with target consumers.
The Contractor has been retained for their fashion industry, creative, or operations expertise.
(A) The Client requires support for collection design, production sourcing, quality assurance, e-commerce, campaign direction, wholesale strategy, or brand marketing.
(B) The Contractor possesses the fashion knowledge or creative expertise to deliver the Services professionally.
(C) The Parties formalize the engagement, covering deliverables, payment, IP over designs and creative assets, and confidentiality for design concepts, supplier pricing, and sales data.
Definitions and Interpretation
The following definitions apply throughout this Agreement.
"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing design portfolios, pattern libraries, or marketing frameworks developed before the engagement.
"Confidential Information" means all non-public information, including unreleased design concepts, fabric sourcing contracts, production costs, wholesale buyer lists, retail markups, campaign data, influencer terms, and inventory levels.
"Deliverables" means designs, tech packs, production specs, marketing campaigns, or other outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, such as garment designs, brand identity, or campaign creative developed for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.
"Services" means work in the Schedule, covering design, production sourcing, quality control, e-commerce, or fashion marketing. Singular includes plural. Statutory references include amendments.
Status of Parties
The Contractor is an independent contractor, not an employee or agent. All tax, insurance, and statutory obligations from fashion consulting are the Contractor's responsibility.
Services and Deliverables
Services are in the Schedule and may include collection design, tech pack creation, production management, e-commerce development, or brand campaign creative. Deliverables require Client written acceptance.
Term and Termination
This Agreement starts on the Effective Date and runs for the agreed term. On termination, the Contractor must return all Client property including unreleased designs, production files, and brand assets.
