Parties and Recitals
This Independent Contractor Agreement (the "Agreement") is entered into between the coffee roastery business identified below (the "Client") and the independent contractor engaged to deliver specialist services (the "Contractor").
The Client operates a coffee roastery involved in green bean sourcing, roast profile development, quality control, packaging, and wholesale or direct-to-consumer distribution. Coffee roasting is both a science and a craft, requiring precise control over drum temperature curves, first-crack timing, development ratios, and cooling protocols. Maintaining consistency across batches while developing new single-origin and blend offerings often requires engaging external expertise in sensory analysis, roast engineering, or commercial scaling.
The Contractor has been engaged based on demonstrated capability in coffee science, roastery operations, or a related discipline.
(A) The Client requires specialist support for roast profile development, green bean quality grading, cupping and sensory evaluation, roaster calibration, production scaling, packaging compliance, wholesale channel development, or brand positioning within the specialty coffee market.
(B) The Contractor represents that they possess relevant certifications or experience, which may include Q Grader credentials, SCA roasting qualifications, or equivalent expertise in commercial coffee roasting operations.
(C) The Parties wish to document the engagement terms, addressing service scope, payment, ownership of roast profiles and blend formulations, and the confidential treatment of green bean sourcing relationships, cupping scores, and production yield data.
Definitions and Interpretation
The following definitions govern the interpretation of this Agreement.
"Agreement" means this Independent Contractor Agreement inclusive of all Schedules and written amendments signed by both Parties.
"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes proprietary roast curve algorithms, existing cupping calibration frameworks, green bean grading rubrics, or production scheduling models developed before this engagement.
"Confidential Information" means all non-public information shared between the Parties, including roast profiles with specific temperature curves and timing data, green bean sourcing contracts with origin farms, cupping scores and sensory evaluation notes, blend ratio formulations, roaster maintenance logs, production yield percentages, wholesale customer pricing, and direct-trade relationship terms.
"Deliverables" means roast profiles, blend specifications, cupping protocols, production SOPs, packaging designs, quality control manuals, or other tangible outputs required under the Schedules.
"Foreground IP" means Intellectual Property Rights created during the Services, including new blend formulations, roast curve profiles, sensory evaluation methodologies, or brand identity materials developed specifically for the Client.
"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights whether registered or unregistered.
"Services" means the work described in the Schedule, which may encompass roast profile engineering, green bean sourcing advisory, quality control consulting, production scaling, wholesale strategy, or brand development. Statutory references include amendments. Singular includes plural.
Status of Parties
The Contractor is an independent contractor, not an employee, worker, or agent of the Client. All tax liabilities, social contributions, and insurance obligations arising from roastery consulting services are borne exclusively by the Contractor.
Services and Deliverables
The Contractor shall perform the services identified in the Schedule, which may include roast profile development, green bean grading, cupping evaluation, production workflow design, or wholesale channel strategy. Deliverables require written Client acceptance following a review period.
Term and Termination
This Agreement runs from the Effective Date for the agreed duration. Upon termination, the Contractor shall hand over all in-progress deliverables and return Client materials including roast profiles, blend specifications, and supplier contact information.
