Parties and Recitals

This Independent Contractor Agreement (the "Agreement") establishes the terms between the laundromat business identified below (the "Client") and the contractor providing specialist services (the "Contractor").

The Client operates a self-service or full-service laundromat providing coin-operated or card-operated washing and drying equipment for public use, and potentially offering wash-and-fold, pickup and delivery, and commercial laundry services. Laundromat operations require knowledge of commercial laundry equipment procurement and maintenance, water and energy utility optimization, cashless payment system integration, store layout for customer flow and safety, and competitive positioning in location-dependent markets.

The Contractor brings the relevant expertise and agrees to perform the Services described herein.

(A) The Client requires support for equipment selection and procurement, utility cost reduction strategies, payment system modernization, store layout redesign, pickup-and-delivery service launch, or marketing to attract consistent foot traffic and recurring customers.

(B) The Contractor has professional experience in laundromat operations, commercial equipment consulting, or service business management sufficient to deliver the Services.

(C) This Agreement covers deliverables, compensation, IP over operational systems and marketing materials, and confidentiality for utility costs, equipment maintenance records, and customer volume data.

Definitions and Interpretation

Unless context indicates otherwise, these definitions apply throughout.

"Agreement" means this Independent Contractor Agreement, all Schedules, and written amendments executed by both Parties.

"Background IP" means pre-existing Intellectual Property Rights. For the Contractor, this includes existing laundry equipment evaluation frameworks, utility optimization models, or payment system integration guides developed independently.

"Confidential Information" means all non-public information, including machine purchase costs and financing terms, utility consumption data and optimization strategies, per-load revenue calculations, payment system transaction volumes, customer foot traffic patterns, pickup-and-delivery route data, commercial laundry contract pricing, and equipment maintenance schedules and costs.

"Deliverables" means equipment assessments, utility analyses, payment system specifications, store designs, marketing plans, or other outputs required under the Schedules.

"Foreground IP" means Intellectual Property Rights created during the Services, such as custom equipment selection frameworks, store layout designs, or delivery service systems developed for the Client.

"Intellectual Property Rights" means patents, trademarks, copyright, design rights, database rights, trade secrets, and equivalent rights in any jurisdiction.

"Services" means the work in the Schedule, covering equipment consulting, utility optimization, payment integration, store design, delivery service launch, or laundromat marketing. Singular includes plural. Statutory references include amendments.

Status of Parties

The Contractor operates as an independent contractor. No employment, agency, or partnership exists. Tax, insurance, and statutory obligations from laundromat consulting are the Contractor's sole responsibility.

Services and Deliverables

Services are described in the Schedule and may include equipment procurement advisory, utility audit, cashless payment modernization, store layout consulting, or neighborhood marketing. Deliverables require Client written acceptance.

Term and Termination

This Agreement commences on the Effective Date and continues for the agreed duration. On termination, the Contractor shall return all Client materials including equipment records, utility data, and customer analytics.
